Governança corporativa: as transações com partes relacionadas nas sociedades anônimas de capital aberto após a Lei n. 14.195/21

This article aims to analyze the impacts provided by Law 14,195/21 on Brazilian Corporate Governance methods by modifying Article 122, item X, of Law 6,404/76, the Law on Joint Stock Corporations. The change that first came through Provisional Measure 1.040, converted into Law in August 2021, modified the jurisdiction to rule on transactions between related parties in public limited liability companies, transferring responsibility for decisions on the subject to the general meeting. At work, we will discuss how transformations can help minimize agency problems between majority shareholders, often controllers, and minority shareholders, since, because they have little information about the decisions made by the controllers regarding transactions between related parties, they may be victims of fraudulent transactions and have their economic acquis impaired. To this end, we will analyze the new legal provisions, the role of the Securities Commission (CMV) in the elaboration of guidelines on transactions between related parties and the work developed by Professor Fabrício Oliveira de Souza, which proposes a three-phase method for analysing corporate governance problems. In the work, the author uses the approach with respect to groups of societies. In the present work, we will use the method to analyze the public limited company, regarding conflicts of interest (agency problems) existing between majority and minority shareholders. In addition, we will examine whether the law has been able to internalize the interests of other stakeholders. Finally, we will make critical comments on the new legislation.Este trabalho visa a analisar os impactos proporcionados pela Lei 14.195/21 aos métodos de governança corporativa brasileiros ao modificar o artigo 122, inciso X, da Lei 6.404/76, a Lei das Sociedades por Ações. A mudança que, em primeiro momento veio através da Medida Provisória 1.040, convertida em Lei em agosto de 2021, modificou a competência para deliberar sobre transações entre partes relacionadas nas sociedades anônimas de capital aberto, transferindo a responsabilidade das decisões sobre o tema para a assembleia geral. No trabalho, discorreremos sobre como as transformações podem ajudar a minimizar os problemas de agência existentes entre acionistas majoritários, muitas vezes controladores, e acionistas minoritários, já que, por possuírem poucas informações acerca das decisões tomadas pelos controladores a respeito das transações entre partes relacionadas, podem ser vítimas de transações fraudulentas e terem seu acervo econômico prejudicado. Para tanto, analisaremos as novas disposições legais, o papel da Comissão de Valores Mobiliários (CMV) na elaboração de diretrizes sobre transações entre parte relacionadas e o trabalho desenvolvido pelo professor Fabrício Oliveira de Souza, que propõe um método trifásico para análise dos problemas de governança corporativa. Na obra, o autor utiliza a abordagem com relação aos grupos de sociedades. No presente trabalho, utilizaremos o método para analisar a sociedade anônima de capital aberto, no que tange aos conflitos de interesses (problemas de agência) existentes entre acionistas majoritários e minoritários. Além disso, analisaremos se a lei foi capaz de internalizar os interesses de outros stakeholders. Por fim, teceremos comentários críticos a respeito da nova legislação

Reestablishment, new records, and a key for the species of Aspidosperma (Apocynaceae) from the Brazilian Amazon

As a result of systematic study of the Neotropical genus Aspidosperma (Apocynaceae), we reestablish the species A. centrale and A. duckei, and report A. steinbachii and A. tambopatense as new records for Brazil. We provide taxonomic descriptions of these species along with plates, distribution maps, and information on their conservation status, habitat and phenology. Economic Evaluations in Health from the Perspective of the Costs Associated with Diabetes Mellitus Treatment

Diabetes mellitus (DM) is a morbidity that presents a wide range of difficulties for the patient to reach the control. This reality not only has impact on the clinical practice but also has serious financial and social consequences for both the patient and the health system. Health technologies that are capable of improving glycemic control have been tested in cost-effectiveness analysis to assess the efficiency of DM care. According to the Brazilian Society of Diabetes, patients with glycated hemoglobin (A1c) within the values considered adequate, less than 6.5%, present a relative risk of developing complications (neuropathy, retinopathy, diabetic foot, pressure ulcers, cardiovascular diseases and renal disease) equal to that of a nondiabetic patient. In highlight, health technologies health technologies have presented positive impact on reducing A1c and, consequently, on reducing diabetes complications. Thus, new health technologies have been capable saving of 72% of resources spent on DM care

USOS DA LÍNGUA ALEMÃ EM DUAS LOCALIDADES DE BLUMENAU, SC: “É LEGAL, EU GOSTO DE FALAR COM A MINHA OMA” (USES OF GERMAN IN TWO LOCATIONS IN BLUMENAU, SC: “IT’S COOL, I ENJOY TALKING TO MY OMA")

Discute-se neste artigo dados parciais de uma pesquisa mais abrangente que objetivou caracterizar o cenário sociolinguístico de localidades bi/multilíngues de Blumenau, SC. O levantamento de dados foi feito em duas escolas rurais desse município, por meio de dois questionários, aplicados aos alunos do 1º ao 5º ano do Ensino Fundamental e as suas respectivas famílias. Os dados indicam que a língua alemã, como língua de imigração, ainda está presente nas interações sociais das duas localidades foco da pesquisa. Quanto às atitudes dos falantes com relação às línguas presentes nas comunidades, infere-se que os sujeitos relacionam a língua alemã aos traços culturais do grupo

GERMINAÇÃO IN VITRO E ACLIMATIZAÇÃO DE Butia capitata (Mart.) Becc

Introdução: Técnicas de cultura de tecidos trazem grandes benefícios para plantas com problemas de germinação, como presenciado em grande parte da família Arecaceae, que tem relevante importância econômica e ecológica. A espécie Butia capitata (Mart.) Becc é nativa do Brasil e encontra-se em declínio onde ocorre. Objetivo: Germinar in vitro sementes da espécie, avaliando temperatura, oxidação e germinação utilizando como quebra de dormência unicamente a excisão do opérculo. Metodologia: Os frutos adquiridos em Mortugaba-BA, foram levadas para o viveiro da UFBA de Vitória da Conquista, retiradas as sementes e levadas ao laboratório para desinfestação e inoculação em tubos de ensaio lacrados com plástico PVC contendo meio de cultura MS e pH ajustado a 5.8. Fez-se experimento em sala de crescimento à 30C° e em germinador a 25C°. Fez-se, sequencialmente, três subcultivos e 75 dias após o último subcultivo, fez-se aclimatização das plantas. Resultados: O resultado da germinação na sala de crescimento foi altamente eficiente e após 65 dias de inoculação das sementes fez-se medição de comprimento foliar. Discussão: Houve 100% de germinação em temperatura considerada mais propícia para grande parte das espécies (30°C), mas a sobrevivência das plantas durante a aclimatização não foi significativa. Conclusão: A extração do opérculo resolve a dormência e as sequências de subcultivos afetaram a vigorosidade das plantas tornando-as sensíveis à aclimatização

How much to invest in glycemic control of a patient with diabetes mellitus type 2? A constant dilemma for the Brazilian Public Health System (SUS)

Diabetes mellitus type 2 (DM2) affects millions of people worldwide and causes several complications for the patient, consuming large sums of financial resources from the health services. This study aims to estimate the financial investment of DM2 treatment for glycemic control of the patient, from the point of view of the municipal Public Health System (SUS). The Delphi technique was used to validate the opinion of a team of judges, specialists in DM2, and health service managers, on the investment necessary for glycemic control of patients with DM2 through the application of questionnaires. In order for the patient to achieve glycated hemoglobin (A1c) < 7%, an investment of US$ 2,419.06 (value/patient/year) is necessary. As the value of A1c increases, investment is reduced. This result reveals the intention to allocate resources for the prevention of DM2 and its complications

GÊNEROS DO DISCURSO, DIALOGISMO E HIBRIDIZAÇÃO

Based on a(n) (in)transdisciplinary view, we aim at discussing the relationship between utterance and hybridism upon Bakhtin’s Circle perspective (BAKHTIN, 2003[1979]; 1998[1975]; 2008[1963]; BAKHTIN/VOLOCHÍNOV, 2006[1929]; MEDVIÉDEV, 2012[1928]), by objectiving to construct a comprehension concerning the hybrid genres, in special, to this present study, the hybrid genres from the journalism sphere. To do so, we follow an epistemological, theoretical and methodological way in accordance with Bakhtin’s Circle studies and we selected utterances from the talk show discourse genre. We believe that the study is relevant, because it doesn’t only confirm the importance to join dialogues between Applied Linguistics and Discourse Analysis, in terms of ratifying the permeability among the disciplinary boundaries in order to understand the social life (MOITA LOPES, 2006) but also it contributes to sediment plural views about discourse genres in bakhtinian analysis of discourse/utterance.Sob um olhar (in)transdisciplinar, objetivamos neste artigo, a partir dos escritos do Círculo de Bakhtin (BAKHTIN, 2003[1979]; 1998[1975]; 2008[1963]; BAKHTIN/VOLOCHÍNOV, 2006[1929]; MEDVIÉDEV, 2012[1928]) discutir a relação entre enunciado e hibridização, visando construir inteligibilidades acerca dos gêneros híbridos, em especial, para este estudo, gêneros híbridos da esfera do jornalismo. Para tanto, seguimos uma rota teórico-epistemológica e metodológica a partir dos escritos do Círculo de Bakhtin e selecionamos textos-enunciados do gênero talk show. Acreditamos que o estudo seja relevante, pois não apenas corrobora a importância de consociar diálogos entre a Linguística Aplicada e Análise de Discurso, ratificando a crescente permeabilidade entre as fronteiras disciplinares em busca da compreensão da vida social contemporânea (MOITA LOPES, 2006) como, em adição, contribui para sedimentar olhares plurais em torno dos gêneros do discurso no campo de análise bakhtiniana de discurso/de enunciado

Strategies for the prevention of prostate cancer

Objectives: To identify the difficulties for the prevention of prostate cancer and to describe strategies for the prevention of prostate cancer. Method: Exploratory, qualitative and bibliographic research carried out in the Nursing Database (BDENF) and in the Latin-American and Caribbean Literature in Health Sciences (LILACS). After pre-reading and selective reading, were selected 8 potential bibliographies. Results: After interpretative and thematic analysis, three categories emerged: Politics and organizational difficulties for the prevention of prostate cancer, Sociocultural difficulties for the prevention of prostate cancer and Strategies for the prevention of prostate cancer. Conclusion: The strategies must have as its focus the politics and the organization of services, to coadunate with the National Politics, as well as with the social and cultural reality of men. The educational activities can contribute to minimize such difficulties, diminishing the prejudices and increasing the male adhesion in the health services for the prevention of prostate cancer

Development of experimental in vitro burn model

PURPOSE:To propose an experimental burn model in NIH-3T3 cell line.METHODS: Induction of thermal injury in cultures of mouse fibroblast - NIH-3T3- cell line and determination of cell viability by MTT and imunofluorescence.RESULTS: The heating of the Petri dish increased proportionally to the temperature of the base and the time of exposure to microwave. In this in vitro burn model, using the cell line NIH-3T3 was observed drastic cellular injury with significant changes in cell viability and activity. It showed drastically modified cell morphology with altered membrane, cytoskeleton and nucleus, and low cellularity compared to the control group.CONCLUSION: The burn model in vitro using the cell line NIH-3T3 was reproductive and efficient.
