Tax Controversy Concerning Employee Stock Options
This paper aims to analyze the tax consequences of granting employee
stock options. There is much controversy as to the sources of revenues and
the date on which revenues are generated. The prevailing view is that taxable
income is obtained only when shares acquired as a result of stock options
are sold and becomes capital income and not employment related. This has
beneficial effects for taxpayers participating in such a programme. They can
avoid double taxation on their income, first, when they exercise rights under
options, and second, when they sell the acquired shares
Ewolucja oraz ocena regulacji dotyczących dokumentacji podatkowej w zakresie cen transferowych
The new regulations that have been introduced since 2017 extend significantly the scope of the TP documentation and reporting requirements to be provided to tax authorities. Therefore they increase administrative and financial burden in particular for multinational enterprises. Taxpayers should prepare for next changes (2019) by i.a. assessing the necessary resources to complete the extended reporting requirements and developing revised standards of intercompany TP documentation (master file, local file, benchmarking analysis). As a consequence, the preparation of TP documentation should no longer be regarded as a purely compliance exercise but instead should become an inherent part of the capital group’s tax risk management.Nowe regulacje wprowadzane od 2017 r. znacznie poszerzają zakres dokumentacji cen transferowych oraz wymogi sprawozdawcze względem organów podatkowych. W związku z tym zwiększają się obciążenia administracyjne i finansowe, w szczególności w przypadku przedsiębiorstw wielonarodowych. Podatnicy powinni przygotować się na kolejne zmiany regulacyjne (2019), poprzez m.in. oszacowanie niezbędnych zasobów w celu sporządzenia i opracowania zmienionych standardów międzygrupowej dokumentacji cen transferowych (dokumentacja lokalna, dokumentacja grupowa, analiza porównawcza). W konsekwencji przygotowanie dokumentacji podatkowej nie powinno być dłużej uznawane za jedynie ocenę zgodności, lecz raczej powinno stać się nieodłącznym elementem zarządzania ryzykiem podatkowym grupy kapitałowej
Managing exchange rate differences for tax purposes
This paper aims to analyze the tax consequences of foreign exchange
differences. The taxpayers can choose the method of determining exchange
differences for tax purposes according to tax law or according to accounting
law. The application of each method has its advantages as well as
disadvantages, and the choice of a better method for the taxpayer should be
based on a detailed analysis of his business activities and potential future
economic events. In business practice certain economic events may result in
recognition or irrelevance of such exchange differences for tax purposes, such
as a waiver of or change of the currency of a liability. If foreign exchange
gains are not recognized for tax purposes, for the taxpayer this would mean
tax savings
Podatkowa polityka cen transferowych w zakresie dóbr niematerialnych w kontekście BEPS
This paper aims to present the recent tax developments of transfer pricing in connection with BEPS Action 8. Special measures proposed by the OECD providing guidance as to how tax assessment of transactions concerning intangibles between associated enterprises should be reconsidered. One of the crucial issues is the appropriate allocation of profits in accordance with the arm’s length principle. The focus is laid on the creation of value at transfer or the use of intangibles and on the developing transfer pricing rules for hard-to-value intangibles.Przedmiotem artykułu jest przedstawienie ostatnich propozycji zmian w zakresie cen transferowych w związku z działaniem nr 8 BEPS. Specjalne środki zaproponowane przez OECD obejmują wytyczne, w jaki sposób należy zrewidować ocenę podatkową transakcji pomiędzy przedsiębiorstwami powiązanymi, dotyczące wartości niematerialnych i prawnych. Jednym z kluczowych zagadnień jest właściwa alokacja dochodów stosownie do zasady arm’s length. ZARZĄDZANIE PODATKAMI W PROCESIE INKORPORACJI TRANSGRANICZNEJ
Tax management is one of the essential aspects of mergers. Mergers of companies that are residents of different Member States are not hampered by disadvantages arising from the tax provisions; it applies to income-, capital-, as well as to value added taxation. With respect to mergers, the tax rules are neutral and allow the deferral of the taxation of the capital gains relating to the assets transferred until their actual disposal. When planning a cross-border transaction it is especially necessary to take into consideration the legal form and place of residence of the participating entities, business justification of the transaction, losses of the transferring company or the percentage of a holding in the capital of the company being taken over.W kontekście globalizacji gospodarki krajowej oraz wzrastającej roli przedsiębiorstw wielonarodowych w gospodarce światowej nabierają również znaczenia transgraniczne zdarzenia reorganizacyjne, w tym połączenia. Niezmiennym pozostaje obowiązek prawidłowego rozliczenia podatkowego, przy czym połączenia transgraniczne wiążą się z powstaniem złożonych problemów natury podatkowej. Dlatego zarządzanie podatkami w ramach inkorporacji transgranicznej jest jednym z istotnych aspektów w tym procesie. Na podstawie analizy regulacji podatkowych wykazano, że krajowe regulacje podatkowe są zasadniczo neutralne podatkowo dla połączeń spółek kapitałowych będących rezydentami państw należących do Europejskiego Obszaru Gospodarczego, ponieważ pozwalają na odroczenie opodatkowania dochodów kapitałowych aż do momentu rozporządzenia przeniesionymi składnikami majątkowymi względnie objętymi udziałami (akcjami). Dlatego uwarunkowania podatkowe nie tworzą zasadniczych barier dla przeprowadzania inkorporacji transgranicznej; dotyczy to zarówno podatków od dochodu, jak i od obrotu. Jednocześnie występuje szereg aspektów szczególnych mogących determinować opłacalność podatkową inkorporacji, wskazać tu można problematykę zakładu, wycenę przejętych składników majątkowych, wysokość udziałów (akcji) posiadanych przez spółkę przejmującą, czy możliwość rozliczenia straty podatkowej spółki przejmowanej. Problem warty dalszej dyskusji stanowią też różnice w podejściu bilansowym i podatkowym do procesów połączeniowych
Holding company location: a Polish tax perspective
This paper aims to present the size and structure of passive income payments, such as dividends, interest, royalty payments, and fees for intangible services, made by companies domiciled in Poland belonging to a multinational enterprises (MNE) group. The authors formulate a hypothesis that tax jurisdictions offering extensive legal and tax incentives for holding structures, in particular concerning the tax treatment of dividends and other withholding tax payments, are the preferred location of holding companies. A review of the literature and legal sources precedes empirical research. The empirical analysis shows that passive income flows, including dividends, interest, royalties, and fees for intangible services, which constitute the dominant type of payments to holding companies, are directed from Poland primarily to countries with tax and regulatory solutions that are friendly to holding companies, including in particular the so-called intra-EU tax havens, namely Luxembourg, Cyprus, the Netherlands, Malta and Ireland. Polish Encounter with a Minimum Taxation: Revenue Tax on Commercial Buildings
The purpose of the article/hypothesis. The purpose of the article is to present the concept of the minimum tax on revenues from commercial buildings and to evaluate the regulation introduced, including the formulation of de lege ferenda postulates.Methodology. The regulatory evolution of the tax structure in 2018–2020 was analyzed and its impact on taxpayers’ settlements.Results of the research. The hypothesis that the minimum tax in the form of a tax on revenues from commercial buildings is a non-excessive anti-abusive measure is verified. One of the purposes of this tax is, in particular, to prevent tax avoidance and profit shifting by large real estate companies owning commercial real estate of significant value. Only about 1/3 of taxpayers did not fully deduct the minimum tax due on commercial buildings from the corporate income tax calculated on general basis. The effect of the increased tax burden, at least temporarily, is mitigated by a number of solutions securing the neutrality of this tax and a relatively low level of the minimum tax.Cel artykułu/hipoteza. Celem artykułu jest przedstawienie koncepcji podatku minimalnego od nieruchomości komercyjnych oraz dokonanie oceny wprowadzonej regulacji, w tym sformułowanie postulatów de lege ferenda.Metodyka. Przenalizowana została ewolucja regulacyjna tego podatku w latach 2018–2020 oraz jej wpływ na rozliczenia podatników z tego tytułu.Wyniki/Rezultaty badania. Podatek ten ma w szczególności zapobiegać unikaniu opodatkowania poprzez niewykazywanie dochodu przez duże spółki nieruchomościowe, posiadające nieruchomości komercyjne o znacznej wartości. Podatkiem minimalnym od nieruchomości komercyjnych objęty został niecały 1% wszystkich podatników CIT. Około 1/3 podatników nie odliczyła w pełni należnego podatku minimalnego od nieruchomości komercyjnych od podatku CIT obliczonego na zasadach ogólnych. Efekt zwiększonego obciążenia podatkowego, przynajmniej przejściowego, był dość znaczący dla tej grupy podatników. Zdaniem autorów, szereg rozwiązań zabezpieczających neutralność tego podatku sprawia, że rozwiązanie to należy ocenić zasadniczo jako adekwatny i w większości przypadków nienadmiarowy środek antyabuzywny
Ryczałt od dochodów spółek – stan obecny i postulaty de lege ferenda
The subject of the article is to identify the deficiencies in the functioning of the corporate income tax and develop de lege ferenda postulates. In their deliberations, the authors will address both the classical system of income taxation and the flat-rate tax on corporate income. The flat-rate tax on corporate income represents an alternative taxation mechanism, linked to the moment of profit distribution. The article will diagnose deficiencies in selected areas of corporate taxation (the current state of affairs) and provide recommendations for changes.Przedmiotem artykułu jest zidentyfikowanie deficytów funkcjonowania podatku dochodowego od osób prawnych i wypracowanie postulatów de lege ferenda. W swoich rozważaniach autorzy odniosą się zarówno do klasycznego systemu opodatkowania dochodów, jak i do ryczałtu od dochodów spółek. Permanent establishment in the context of BEPS action plan
Przedmiotem artykułu jest przedstawienie propozycji zmian w zakresie
opodatkowania zakładu zagranicznego przede wszystkim w związku z Działaniem nr 7
BEPS. Jednym z kluczowych zagadnień jest przeciwdziałanie sztucznemu unikaniu
statusu zakładu zagranicznego. Punkt wyjścia do rozważań stanowi problem unikania
opodatkowania przez międzynarodowe przedsiębiorstwa, który jest wynikiem niedostosowania
aktualnych regulacji do dynamicznych zmian zachodzących w gospodarce.The purpose of this article is to characterize the recent OECD proposals
included in BEPS Action 7 regarding taxation of permanent establishment. The recommendations
intended to counteract the artificial avoidance of PE status. This paper will
also deal with the various solutions to tackle such schemes
TAXATION AND CHOICE OF DIRECT INVESTMENT FORM IN POLAND
The paper makes a comparison by means of the net terminal value method the current
tax charges of two basic forms of direct investment, i.e. partnership/branch and company. The
analysis shows that in the case of a German private businessman or partnership in Poland it
is generally more advantageous in terms of tax to establish a partnership/branch than a company.
This refers especially to highly profitable investments (i.e. yielding high profits in terms
of absolute figures), since the size of the unwelcome progression effect is limited. Also in the
aspect of e.g. loss settlement a partnership/branch has the benefit to settle the loss in Germany,
which is beneficial due to the negative progression effect.
The profitability of a certain investment project should not, however, be judged solely on
the basis of the current taxation. During tax planning one should allow for a number of other
factors, e.g. shape of mutual contractual relations (transfer prices), method of financing, dividend
policy, taxation on occasional events, organizational structure, etc
