Tato diplomová práce popisuje průběh likvidace na základě rozhodnutí soudu včetně postavení likvidátora v tomto procesu. Cílem práce je zachytit a popsat chronologicky celý proces likvidace obchodní korporace, tedy proces od jejího zrušení až po její zánik, který spočívá ve výmazu z Obchodního rejstříku. Pozornost je zaměřena také na likvidátora jmenovaného soudem, jeho způsobliost k výkonu funkce, práva, povinnosti a odpovědnost. Závěr práce je věnován možnostem urychlení a usnadnění likvidace, přičemž celý průběh likvidace je zde zobrazen na reálném příkladu. Nechybí ani odvození přibližného počtu „mrtvých společností“ společně s predikcí tohoto vývoje. Na základě předcházejících zjištění jsou formulována možná východiska.This diploma thesis describes process of the liquidation based on decision of the court, including the role of liquidator during this process. The aim of the thesis is to capture and describe chronologically whole process of the liquidation of a business corporation - from its dissolution to its cessation, which means deletion from the Company register. Attention is also paid on a liquidator appointed by the court, his competences to perform a function, law and order and responsibilities. Final part of the thesis is focused on possibilities of speeding up and facilitating the liquidation, whereas the whole process of liquidation is shown on a real example. Deduction of an approximate number of „dead companies“ along with prediction of its evolution is added as well. Design of On Demand Cardiac Pacemaker in LabVIEW

Návrh kardiostimulátoru typu On Demand pro výukové účely je navržen a realizován v programovém prostředí LabVIEW. Obsahem práce je obecný popis kardiostimulátorů s rozdělením dle různých kritérií zahrnujících způsob a dobu stimulace, rozsah působnosti apod. Konkrétně je řešen typ stimulátoru On Demand a je proveden systémový návrh realizace. Pro porovnání účinnosti detektorů R vlny obsahuje realizace v prostředí LabVIEW tři vybrané metody detekce R vlny a to pomocí umocnění filtrovaného signálu, detekcí obálky filtrovaného signálu a vlnkovou transformací. Výstupem virtuálního kardiostimulátoru je stimulační impulz s nastavitelnou amplitudou a šířkou impulzu.Proposal On Demand type pacemaker for educational purposes is designed and realized in the programming environment of LabVIEW. The thesis is a general description of pacemakers with the distribution according to various criteria including the type and duration of stimulation, scope, etc. Specifically, it dealt with a type of pacemaker On Demand system and made a proposal for implementation. To compare the effectiveness of the R wave detector includes a LabVIEW implementation of three selected methods for detection of R wave and by squaring the filtered signal, detecting the filtered envelope and wavelet transform. The outcome is a virtual pacemaker stimulation pulse with adjustable amplitude and pulse width.

Transparency in Tendering for Public Procurement in the CR

katedra: KEK; rozsah: 129 s. přílohy 18 s.Thesis with the title "Transparency of selection procedures for public contracts in the Czech Republic" is aimed at the definition of the most common errors on procurement, their classification according to the origin of the inner (error on the part of the contracting authority) and external (inadequate or poorly chosen legislation), recommendations for the contracting authority and an assessment of the impact of these failures on transparency. At the conclusion of the work is confirmed as the assumption that: lack of transparency causes are in most cases, errors in the procedure, the contracting authority. As in the case that the contracting authority to want proceed properly and transparently, in Czech legislation are sufficient instruments. However, no legislation can be guaranteed to all areas of the process of entering and decisive role always was, is and will be the contracting entity. The main benefit of work is a system approach to the issue of misconduct by the contracting entities procurement, the confrontation of these errors with the valid legislation and their impact on the transparency of the selection procedure.Diplomová práce s názvem ?Transparentnost výběrových řízení na veřejné zakázky v České republice? je zaměřena na vymezení nejčastějších pochybení u veřejných zakázek, jejich zařazení dle původu vzniku na vnitřní (chyba na straně zadavatele) a vnější (nedostatečná či nevhodně zvolená legislativa), doporučení pro zadavatele a zhodnocení vlivu těchto pochybení na transparentnost. V závěru práce je potvrzen stanovený předpoklad, že: příčiny netransparentnosti jsou ve většině případů chyby v postupu zadavatele. Neboť v případě, že by zadavatel chtěl postupovat správně a transparentně, má k tomu v české legislativě dostatek nástrojů. Ovšem ani sebelepší legislativa nemůže zabezpečit všechny oblasti procesu zadávání a rozhodující roli vždy měl, má a bude mít zadavatel. Hlavním přínosem práce je systémový přístup k problematice pochybení zadavatelů veřejných zakázek, konfrontace těchto chyb s platnou legislativou a jejich vliv na transparentnost výběrového řízení

Dohody o pracích konaných mimo pracovní poměr Tato diplomová práce se zabývá dohodami o pracích konaných mimo pracovním poměr, institutem českého pracovního práva, který spolu s pracovním poměrem tvoří jeden ze základních pracovněprávních vztahů. Cílem této práce je shrnout dřívější a stávající právní úpravu, představit tento institut a vymezit jeho potřebnost a účel v rámci českého pracovního práva. Práce je rozdělena do sedmi kapitol. Na začátku diplomové práce obecně charakterizuji pracovní právo, dále jsem se zaměřila na postavení pracovního práva v systému práva a na jeho vztah s právem občanským. V další kapitole se věnuji prvkům pracovněprávních vztahů a hlavně pojmu závislé práce, jelikož se jedná o jeden ze stěžejních pojmů českého pracovního práva a vysvětlení tohoto pojmu je nezbytné pro vymezení institutu dohod o pracích konaných mimo pracovní poměr. Třetí kapitola je věnována dohodám o pracích konaných mimo pracovní poměr. Zabývám se zde historií vzniku a vývoje právní úpravy dohod o pracích konaných mimo pracovní poměr a změnami, kterými tento institut od svého vzniku v rámci československého a českého právního řádu prošel. The aim of this work is to summarize the previous and current legislation. The next aim of this work is to present this institute and to define its necessity and purpose within the Czech labour law. The work is divided into seven chapters. At the beginning of this diploma thesis I generally describe labour law then I also focused on the position of labour law in the system of law and its relation with the civil law. In the next chapter I deal with the elements of labour law relations and I also deal with the concept of dependent work as it is one of the basic terms of the Czech labour law and the explanation of this term is necessary for definition of the institute of the agreements on work performed outside of employment. Legal Regulation of Product Placement

Import 02/11/2016Předmětem této práce je analýza právní regulace product placementu v České republice. Úvodní část práce stručně vymezuje product placement z marketingového hlediska, jeho historii, seznamuje s jednotlivými typy product placementu a hodnotí výhody a nevýhody. Následně je detailně rozebrána právní úprava jak z hlediska veřejnoprávního, tak z hlediska soukromoprávního. Právní úprava vychází ze sekundárního práva Evropské unie a proto je součástí této analýzy i evropské právo. Kromě samotného popisu právní úpravy je předmětem této práce také srovnání české a evropské právní úpravy se zaměřením na implementaci směrnice Evropského Parlamanetu a Rady 2007/65/ES. Druhá část obsahuje vlastní výzkum provedený formou dotazníku, který zhodnocuje postoj veřejnosti k product placementu a znalost některých jeho právních znaků. Zjištěné názory byly dále srovnávány s vlastními hypotézami.The main aspect of this thesis is an analysis of the legal regulation of the product placement in the Czech Republic. The introductory part briefly defines product placement from the point of view of the marketing, its history, explains different forms of this tool and its practical use and evaluates the pros and cons. Subsequently, a detailed analysis of the legal regulation is performed from the perspective of public and private law including liability for product placement. Czech law comes from the secondary law of the European Union, therefore part of it is dedicated to European law. Besides description of the legislation, thesis compares the difference between Czech and European legislation with focus on Directive 2007/65/EC of the European Parliament and of the Council. The second part contains research conducted by a questionnaire, which evaluates public attitudes toward product placement and knowledge of some legal aspects. Import 11/07/2012Každý zaměstnavatel by měl zjišťovat potřeby a přání svých zaměstnanců, aby mohl systém zaměstnaneckých benefitů, které jsou v současné době neodmyslitelnou součástí moderního managementu, dobře stanovit. Úvodní část diplomové práce pojednává o aspektech motivace zaměstnanců (objasnění pojmu motivace, jednotlivým druhům teorií a faktorům, jež ovlivňují jejich výkon). V další kapitole je obsažena charakteristika jednotlivých zaměstnaneckých benefitů, jejich daňové i účetní dopady. V praktické části jsem provedla vyhodnocení rozsáhlé ankety uspořádané mezi zaměstnanci vybrané společnosti na téma „Zaměstnanecké benefity“ a ankety, kde byly osloveny některé firmy v regionu Severní Moravy s žádostí o poskytnutí údajů, týkajících se zaměstnaneckých benefitů. Vyhodnocení anket je provedeno kvantitativní analýzou, jež ukazuje rozložení názorů v celkovém počtu odpovědí.Every employer should make the effort to find out needs and wishes of his employees, so he could optimally set up the system of employee benefits and perks, which are the inherent part of contemporary modern management. Introductory part of this disertation deals with aspects of motivation of employees (clarifying the concept of motivation, presents the categories of theories and factors which influence employees performance). Phantom model for perfusion imaging

Tato práce je zaměřena na problematiku týkající se perfuzní analýzy. Cílem této práce je provést experimentální měření na fantomovém přípravku a následně vyhodnotit perfuzní křivky, díky nimž lze poté odhadnout perfuzní parametry, které udávají důležité informace o průtoku určitou sledovanou oblastí. Veškeré procesy spojené se stanovováním a vyhodnocováním jsou prováděny v programovém prostředí Matlab. Výstupem práce je systém, který uvádí čtenáře do problematiky perfuzní analýzy a umožňuje mu pochopit a poznat, jak probíhá perfuzní analýza, jaké nároky jsou kladeny na její hodnocení a co je výsledkem takové analýzy.This work focuses on issues relating to the perfusion analysis. The aim of this work is to perform experimental measurements of the phantom and then evaluate the perfusion curves. This curves are used to himation of perfusion hemodynamic parameters, which indicates important informatik about monitoring area. All processes associated with the designation and evaluation are performed in a program named Matlab. The output of work is a system that provides the reader into the problem of perfusion analysis and allows him to understand and know what is the meaning od analysis, what demands are placed on the evaluation and what is the result of this perfusion analysis.
