Finanças corporativas e as decisões financeiras de longo prazo em empresas familiares

Esta pesquisa examina o processo decisório financeiro em uma empresa familiar brasileira de grande porte que atua no comércio varejista. A informalidade existente nas decisões financeiras da empresa familiar motivou o interesse em realizar esse estudo. A revisão teórica identifica o conceito de investimento, destaca as etapas de um projeto de investimento e aponta as ferramentas de avaliação financeira de um investimento. As teorias de estrutura de capital da empresa são discutidas de forma sucinta no trabalho, dando maior ênfase as opções de financiamento e a determinação do seu custo. Apesar de focado nas decisões de investimento e financiamento, o trabalho apresenta também a definição de empresa familiar de diferentes autores e o que já foi discutido sobre o assunto. Um breve histórico sobre o surgimento da empresa familiar ajuda a entender melhor alguns comportamentos e atitudes adotados na gestão da empresa familiar. Por fim, são apresentados os resultados obtidos na pesquisa, orientados pela teoria arrolada durante o trabalho. O trabalho espera contribuir para uma mudança de comportamento em relação a aplicação da teoria financeira no cotidiano das empresas familiares.This research examines the financial decision process at a Brazilian large retail family business. The informal financial decision has motivated the wish to start this research. The theorical review defines the concept of investment, highlights the steps of an investment project and points the financial evaluation techniques. The capital structures theories are discussed in a general ways, given more emphasis to the financial options and its costs determination. Although its focus on investment and financial decisions, this research features the definition of a family business from different authors and what has been discussed so far about it. A brief historical about the origins of the family business helps to better understand some attitudes and behavior in family business management. At last, the results are presented oriented by the shown theories. This research hopes to contribute for changing the behavior while applying financial theory on day by day of the family business

Efeito devolutivo e a limitação do tribunal em apreciar ex officio questões de ordem pública no recurso de apelação: uma análise doutrinária

A presente monografia procura analisar a controvérsia, presente no âmbito doutrinário, acerca da possibilidade de limitação da atuação do tribunal no recurso de apelação em capítulos da sentença que não lhe foi devolvido, voluntariamente, pela interposição do apelo, ainda que sobre tais capítulos constem às chamadas questões de ordem pública: afinal, pode o tribunal conhecer de uma falta de condição da ação ou pressuposto processual em relação a capítulo não recorrido? Tal análise, a partir de pesquisa bibliográfica e da constatação que de fato há controvérsia sobre o tema, levou em consideração as posições construídas na literatura processual civil brasileira tanto durante o CPC/73, quanto durante o vigente CPC/15, com enfoque na ordem pública percebida no plano do direito processual, a partir de quatro capítulos. O primeiro capítulo, nitidamente introdutório, tece breve panorama sobre os efeitos recursais, como forma de substrato argumentativo para os demais capítulos. Já o segundo capítulo se propõe discutir a sinonímia geralmente atribuída às expressões efeito devolutivo vertical e efeito translativo, e como a distinção entre tais efeitos é necessária, inclusive, para delimitar a atuação do tribunal em sede recursal de apelação. Por sua vez, o terceiro capítulo expõe a Teoria dos Capítulos da Sentença e suas implicações sobre a relação existente entre efeito devolutivo e questões de ordem pública, especialmente quando envolve recurso parcial que impugna a denominada sentença objetivamente complexa. Por fim, o quarto capítulo procura expor a problemática em torno do dogma, difundido doutrinariamente no Direito Processual Civil brasileiro, de que as questões de ordem pública podem ser arguidas em qualquer momento e grau de jurisdição, de ofício e não está sujeita a qualquer preclusão, no sentido de que tal noção desvia-se da própria finalidade da ordem pública que é a de controle da regularidade da atividade processual, frise-se, de maneira tempestiva. A partir de tal análise, é possível perceber a necessidade de enxergar as questões de ordem pública, pelo menos as processuais, como também passíveis de serem alcançadas pela preclusão e, se for o caso, pela coisa julgada, como forma de limitar a atuação jurisdicional e garantir segurança às relações jurídicas consolidadas a partir das decisões judiciais, mormente quando apenas um dos capítulos da sentença complexa seja alcançado pelo trânsito em julgado

Allocation of Funds from Public Offerings of Shares (IPO's) in Brazil and Stock Returns

This study analyzes the relationship between the allocation of funds raised in a public offering of shares and abnormal profitability on the first day of trading. The objective is to identify whether the allocation of resources can be considered for the decision-making of investors. To measure the data, multivariate analysis was used, and the data survey considered the information from the prospectuses of the public offers and the announcements for the closing of the offers, between January 2007 and December 2011. Two hypotheses were tested: one in relation to allocation of resources and another in relation to the group of investors participating in the offer. The results show that there is no relationship between the allocation of resources and the abnormal returns of companies. However, for investors who are part of the company's management, they were related to abnormal stock returns on the first day of trading

Novel hybrid nanofibrous membranes of Nylon 6/Yeast cell wall components for potential removal of heavy metal contaminants

Nanofibrous membranes can be obtained by the application of high electrostatic potentials, a process known as electrospinning, showing very large surface-to-volume ratio, high porosity and interconnectivity, making them very attractive for applications like filtration, enzymatic membrane reactors, tissue engineering, sensors, or delivery matrices for bioactive and pharmaceutical compounds [1]. With the aim of obtaining nanofibrous materials with improved filtration capability and adequate performance to remove heavy metals as contaminants, for example from wastewater, we have fabricated and characterized electrospun nanofibrous membranes from nylon 6 (N6) and yeast cell wall (YCW) components. Two main biopolymeric samples were obtained by sequential extraction of yeast cell by-products with water and alkaline solutions [2]: a YCW-rich extract and a mannoprotein-rich extract (MP). Membranes of N6 alone showed satisfactory mechanical properties. SEM analysis revealed arrays of randomly distributed fibers with high porosity, and average fiber diameter of 235 nm and water contact angle (WCA) of 101°. FTIR analysis confirmed the presence of the biopolymeric components in the hybrid membranes that in general increased the membrane surface hydrophobicity. N6/YCW membranes had similar overall tensile strength properties and fiber diameters but the N6/MP membranes showed higher fiber average diameter, lower stress at break point, lower stiffness and higher elongation. Based on the potential sorption ability of yeast cell wall components [3], sorption experiments were performed for cadmium and lead cations. Promising results have been obtained and further studies are underway to better characterize the effect of initial meal ion and pH and the relative ratio of the polymeric fiber components on the sorption process.publishe
