    The case study can be used to achieve the following aims: • To illustrate the main restructuring options (spinoff, carve out, and issuance of tracking stocks) and highlight the comparative advantages resulting from a spinoff. • To outline the pros and cons of diversifying as opposed to refocusing on the core business. • To pinpoint factors that substantiate the perception that the market valuation factored in a conglomerate discount. • To show how, by analyzing multiples of comparable firms, we can come up with a Sum of Parts valuation of the Group, which we can then compare with the actual market valuation to verify whether a conglomerate discount actually had been applied

    On April 2010, Mr Sergio Marchionne, CEO of Fiat Group, announced the intention to proceed with a spin off of the business of industrial vehicles. The spin off would lead to the creation of a new entity, Fiat Industrial, listed on Milan Stock Exchange. The spin off was carried out until the end of 2010 and Fiat Industrial was officially listed on 3 January 2011. The case study illustrates the main restructuring options for a conglomerate (spin off, carve out and tracking stocks issues) and highlights the comparative advantages of the different options. The case is also useful for the analysis of the conglomerate discount that Fiat was suffering from before the spin off deal. Finally, the case applies comparable multiples valuation in order to provide a valuation of Fiat group as a sum of parts to be compared with the market valuation of the conglomerate before the spin off

    Household use of green cleaning products, disinfecting wipes and asthma control among adults

    International audienceBACKGROUND: The use of Household Disinfectants and Cleaning Products (HDCPs) may negatively impact asthma control, but studies remain scarce. Moreover, none considered green products or wipes, increasingly used during home cleaning. OBJECTIVE: To assess the associations between the use of HDCPs, including disinfecting wipes and green products, and asthma control based on data from the French web-based NutriNet-Santé cohort. METHODS: Using a standardized questionnaire (2018), we assessed asthma control (never asthma - reference, controlled: ACT≥20, uncontrolled: ACT<20) and the use of HDCPs, including two types of products (irritants and green products) and two application modes (sprays and disinfecting wipes). Cross-sectional associations of the frequency of weekly use of HDCPs at home with asthma control, adjusted for gender, age, smoking status, body mass index and educational level were assessed by multinomial logistic regressions. RESULTS: Analyses were performed on 37,043 adults (mean age: 47 years, 75% women, 62% with a weekly use of at least one HDCP). Strong associations were observed between weekly use of HDCPs and uncontrolled asthma. In particular, an almost daily use (4-7 days a week) of irritants (OR=2.81[1.97-4.00]), green products (OR=2.40[1.70-3.39]), as well as sprays (OR=2.69[1.97-3.68]) and disinfecting wipes (OR=3.51[2.31-5.33]) was associated with uncontrolled asthma. When not co-used with irritants and sprays, associations remained statistically significant for both disinfecting wipes and green products. CONCLUSION: Weekly use of HDCPs, including green ones or wipes, was associated with uncontrolled asthma and should be considered by health practitioners in order to improve asthma control
