    Application of Minority and Marketability Discounts in Appraisal Actions under Missouri Revised Statutes Section 351.455

    Appraisal statutes are available to provide fair compensation to minority shareholders of corporations who are squeezed out against their will. Missouri Revised Statutes Section 351.455. the Missouri statute that provides for appraisal rights in the event of a merger or consolidation, requires corporations to pay dissenting minority shareholders “fair value” for their shares. The Missouri appraisal statute does not define “fair value,” nor does it provide a mathematical formula for determining the value of dissenters’ shares. Rather, Missouri case law has established that courts are to consider all relevant facts and circumstances to determine the value of a dissenter’s shares. A significant question of law is whether minority and marketability discounts should be applied. The various state courts are divided as to the appropriateness of both discounts. Although the Missouri Supreme Court has not yet decided the issues, in Swope v. Seigel-Robert, Inc., the United States Court of Appeals for the Eighth Circuit predicted that the Missouri high court would reject both discounts. Although the Eighth Circuit was probably right in rejecting a marketability discount, it may have been wrong in concluding that the Missouri Supreme Court would reject a minority discount

    The evaluation of partial binocular overlap on car maneuverability: A pilot study

    An engineering approach to enlarge the helmet mounted display (HMD) field of view (FOV) and maintain resolution and weight by partially overlapping the binocular FOV has received renewed interest among human factors scientists. It is evident, based on the brief literature review, that any panoramic display with a binocular overlap, less than a minimum amount, annoys the viewer, degrades performance, and elicits undesirable behavior. The major finding is that across the 60 deg conditions, subjects moved their heads a greater distance (by about 5 degs on each side) than in the 180 deg condition, presumably to compensate for the lack of FOV. It is quite clear that the study, based on simple car maneuverability and two subjects, reveals differences in FOV, but nothing significant between binocular overlap levels and configurations. This tentatively indicates that some tradeoffs of binocular vision for a larger overall display FOV are acceptable

    ECLSS advanced automation preliminary requirements

    A description of the total Environmental Control and Life Support System (ECLSS) is presented. The description of the hardware is given in a top down format, the lowest level of which is a functional description of each candidate implementation. For each candidate implementation, both its advantages and disadvantages are presented. From this knowledge, it was suggested where expert systems could be used in the diagnosis and control of specific portions of the ECLSS. A process to determine if expert systems are applicable and how to select the expert system is also presented. The consideration of possible problems or inconsistencies in the knowledge or workings in the subsystems is described

    In analyzing the baseline Environmental Control and Life Support System (ECLSS) command and control architecture, various processes are found which would be enhanced by the use of knowledge based system methods of implementation. The most suitable process for prototyping using rule based methods are documented, while domain knowledge resources and other practical considerations are examined. Requirements for a prototype rule based software system are documented. These requirements reflect Space Station Freedom ECLSS software and hardware development efforts, and knowledge based system requirements. A quick prototype knowledge based system environment is researched and developed

    Structural and functional effects of acoustic exposure in goldfish: evidence for tonotopy in the teleost saccule

    <p>Abstract</p> <p>Background</p> <p>Mammalian and avian auditory hair cells display tonotopic mapping of frequency along the length of the cochlea and basilar papilla. It is not known whether the auditory hair cells of fishes possess a similar tonotopic organization in the saccule, which is thought to be the primary auditory receptor in teleosts. To investigate this question, we determined the location of hair cell damage in the saccules of goldfish (<it>Carassius auratus</it>) following exposure to specific frequencies. Subjects were divided into six groups of six fish each (five treatment groups plus control). The treatment groups were each exposed to one of five tones: 100, 400, 800, 2000, and 4000 Hz at 176 dB re 1 μPa root mean squared (RMS) for 48 hours. The saccules of each fish were dissected and labeled with phalloidin in order to visualize hair cell bundles. The hair cell bundles were counted at 19 specific locations in each saccule to determine the extent and location of hair cell damage. In addition to quantification of anatomical injury, hearing tests (using auditory evoked potentials) were performed on each fish immediately following sound exposure. Threshold shifts were calculated by subtracting control thresholds from post-sound exposure thresholds.</p> <p>Results</p> <p>All sound-exposed fish exhibited significant hair cell and hearing loss following sound exposure. The location of hair cell loss varied along the length of the saccule in a graded manner with the frequency of sound exposure, with lower and higher frequencies damaging the more caudal and rostral regions of the saccule, respectively. Similarly, fish exposed to lower frequency tones exhibited greater threshold shifts at lower frequencies, while high-frequency tone exposure led to hearing loss at higher frequencies. In general, both hair cell and hearing loss declined as a function of increasing frequency of exposure tone, and there was a significant linear relationship between hair cell loss and hearing loss.</p> <p>Conclusions</p> <p>The pattern of hair cell loss as a function of exposure tone frequency and saccular rostral-caudal location is similar to the pattern of hearing loss as a function of exposure tone frequency and hearing threshold frequency. This data suggest that the frequency analysis ability of goldfish is at least partially driven by peripheral tonotopy in the saccule.</p
