Intervención aduanera e infracción de los derechos de propiedad intelectual: cuestiones de derecho aplicable.
Las autoridades aduaneras tienen reconocido un importante papel para la defensa de los
derechos de propiedad intelectual (DPI) en el comercio internacional de mercancías. Su intervención,
prevista en la Unión Europea (UE) por el Reglamento 1383/200 para casos de infracción o riesgo de
infracción de DPI, requiere que sean ellas las que, al menos en principio, decidan sobre la vulneración de
estos derechos. Siguiendo el Reglamento, estas decisiones se adoptarán atendiendo a las normas comunitarias
y autónomas del Estado miembro cuyas aduanas hayan sido llamadas a intervenir y, conforme a
la jurisprudencia del Tribunal de Justicia de la UE, no podrá establecerse la infracción en tanto no se
acredite que las mercancías pudieran llegar a dirigirse al mercado interior. De ahí que no parezca que la
anunciada introducción de la remisión a las normas de conflicto del Reglamento Roma II (lex loci protectionis)
para que las autoridades aduaneras localicen la ley aplicable a la existencia de infracción
pudiera llegar a tener repercusión alguna en esta materia
Spain and Investment Arbitration: The Renewable Energy Explosion
In the past decade, Spain’s generous incentive system for renewable energy production attracted substantial foreign and national investment. However, when the global financial crisis hit, and the consequent reduction of electricity consumption, the incentives began to cause a tariff deficit in the electricity system, leading the Spanish government to cut back and then eliminate the incentives. In the wake of losses, international investors turned to investment arbitration, while national investors could only present their claims before Spanish courts. The result was a potential for differential treatment between national and foreign investors. This paper examines the incentive regime and the government’s changes to it in order to understand the investors’ claims and the reasoning that resulted in their rejections, both in national courts and in the only arbitration award issued up to now. The paper concludes with a discussion of the effect of the renewable energies situation on the investment arbitration debate within Spanish civil society
De fronteras y patentes farmaceúticas
Desde que el ADPIC armoniza los estándares de protección de las patentes de invención
en el progresivamente ampliado número de Estados miembros de la OMC, las fronteras
estatales y sociales del acceso a los medicamentos fueron llevadas al primer plano
mediático y político gracias al empeño de la sociedad civil. Si bien este Acuerdo ha sido el
eje vertebrador de las críticas, pues introdujo la patentabilidad obligatoria de los productos
farmacéuticos y la protección de la información relativa a las pruebas y análisis clínicos
requeridas por las administraciones para conceder autorizaciones de comercialización,
sus normas dan entrada a ciertas flexibilidades que los Estados pueden utilizar en el
diseño de las legislaciones nacionales. Este trabajo analiza la situación general del Acuerdo
y cada una de estas flexibilidades sin perder de vista la práctica y, consiguientemente la
aparición de acuerdos de liberalización comercial que introducen estándares de protección
más elevados; los llamados ADPIC-PlusEver since TRIPs Agreement harmonized patent standards among the progressively
enlarged number of WTO members, State and social boundaries on access to medicines
were taken to the media and political forefront thanks to the civil society determination.
This Agreement introduced the compulsory patentability of pharmaceutical products and
the protection of the analysis and clinical trials information required by national administrations
to award commercial authorizations. Although, therefore, this Agreement has been
the center of all the critics, its provisions facilitate certain flexibilities that member States
can use in designing their national laws. This piece analyses the general situation of the
Agreement without disregarding practice and, hence, the appearance of free trade agreements
introducing higher protection standards, the so-called TRIPS-Plus commitment
Incidencia de la protección del Medio Ambiente en la contratación internacional
Los operadores comerciales internacionales son los destinatarios indirectos de las normas internacionales vinculantes de protección del medio ambiente y de las relativas a ordenación del comercio, cuya relación e interacción no dejan de ser complejas. La seguridad jurídica de las transacciones comerciales –a la que va aparejada su realización y su rentabilidad- requiere conocer las exigencias medioambientales que, especialmente en el ámbito contractual, deberán ser satisfechas. Para ello, no basta con realizar la tradicional determinación de la ley aplicable a los contratos internacionales y el estudio de la imperatividad de las normas de protección del medio ambiente y su ámbito de aplicación, sino que debe tenerse en cuenta, además, la introducción en los contratos de cláusulas particulares en la materia. Con ellas, además de salvaguardar la posición de los contratantes frente a diversas circunstancias, se pone de relieve la existencia y el desarrollo de una política empresarial de protección medioambiental que, llevada de este modo al terreno claramente obligacional, puede servir también a los intereses de mercadotecnia de los operadores en el marco de la llamada Responsabilidad Social Corporativa. The object of this article is to investigate the potential of new mobile devices for information mobility, and their implementation for Spanish cybermedia. De series españolas de éxito a producciones audiovisuales transmediáticas. Análisis de "Águila Roja", "El Barco" y "Amar en tiempos revueltos"
The new ways of audiovisual consumption are generating new forms of creation of contents. The success of series of conventional television has lead to the transformation of the audiovisual product in a transmedia product, able to arrive to more publics through more channels. In Spain, series that have attained a good reception of the audience have expanded the narrative universe created to new online or offline platforms. In the present article, we analyses the case of three Spanish successful series (Águila Roja, El Barco y Amar en tiempos revueltos) and the narrative strategies on.Los nuevos modos de consumo audiovisual están generando nuevas formas de creación de contenidos. El éxito de series de televisión convencionales ha propiciado la transformación del producto audiovisual en un producto transmedia, capaz de llegar a más públicos a través de más canales. En España, series que han logrado una buena acogida por parte de la audiencia, han optado por expandir el universo narrativo creado a nuevas plataformas online u offline. Mergers and acquisitions success: examining customer loyalty
Purpose
Mergers and acquisition are a very common part of business strategy. However, it is not clear if and how these processes affect customers. This study aims to assess banking M&A from the marketing perspective, by analyzing its impact on the customer loyalty.
Design/methodology/approach
The study employed a purposive sampling method for collecting data from 232 respondents using a self-administered questionnaire. Variance-based structural equation modelling (PLS-SEM) was used for testing the proposed structural model.
Findings
Results show that M&A integration does influence customers' perception of key variables like customer–company relationship, and their loyalty after the M&A. Findings highlight the relative importance of these variables and the potential influence of some moderators (customer orientation, speed of integration and communication). The most important antecedent of loyalty in a M&A situation is service quality followed by company image, products and prices, sales channels and sales force.
Originality/value
This paper explores the impact of M&A on clients by using customer survey data, an area that is still an under-explored field, in relation with the total number of articles on M&A that are published each year
The effect of mergers and acquisitions on customer–company relationships: Exploring employees’ perceptions in the Spanish banking sector
Purpose
The purpose of this paper is to explore employees’ perceptions about customers’ reactions to mergers and acquisitions (M&A). In particular, the aim is to explore how M&A in the banking sector affects the relationship between customers and the financial entity in a real-life context.
Design/methodology/approach
Using a case analysis methodology, this paper investigates the most important cases of M&A that occurred between 54 retail banks and saving banks in the Spanish market between 2009 and 2014. To do so, 36 face-to-face exploratory interviews were conducted amongst a sample of employees selected through a purposive sampling technique.
Findings
The perceptions of the employees about the impact of the M&A on customer relationship development suggest that financial M&A negatively affect prices, the location and closeness of the branches, and the routines of the financial activity, and positively affect products and services offered after the M&A.
Research limitations/implications
Given that the objective is to explore perceptions rather than test them, despite being insightful, the results of this study should be generalised with caution.
Originality/value
This paper explores customer responses and attitudes towards financial M&A from the point of view of marketing. This paper considers the effect that M&A changes generate on consumer satisfaction and bank−client long-term relationships
