English summary The aim of the thesis is to present the possible ways of a relocation of a registered office of a company to other member state of the European Union. Furthermore, I tried to focus on common complication which can be faced in practical realization of such transfer, as well as on forthcoming legislation and possible perspectives which can be expected. I believe that this topic is very current and progressive and that the wish for cross-boarder movability of companies will be increasing. The thesis is composed of ten chapters, each of them dealing with different aspects of relocation of the registered office. Chapter One is introductory and defines basic terminology used in the thesis and reasons why I've devoted myself to this subject matter. Chapter Two examines the term "personal statute of a company". The chapter consists of six parts. Part One focuses on registered office of a legal entity. Part Two investigates the term personal statute itself. Part Three addresses the issue of theory of the Registered office and the Part Four the opposite theory of Incorporation.     Latest trends in cross-border transformations and relocations of companies

    The aim of this thesis is to present the latest trends in the field of the cross-border transformations and companies' relocation focusing especially on the transactions of the Czech and European companies. The Prologue of this thesis briefly outlines its structure and objectives. In the first chapter the thesis focuses on teoretical and general description of certain concepts of a seat of a corporation and its personal statute. The following chapters further examine the relevant European legislation including the functional treaties, relevant directives and case law of the Court of Justice of the European Union. The thesis further concentrates on the regulation of the particular forms of so called European companies - first of all on the European Company (SE) - and their possibilities in relation to the cross-border transformations and relocation. The attention is given also to a brand new concept of the European business register (EBR) and future expectation arissing from it. As regards the Czech national legislation the thesis provides an outline of the prior regulation abandoned by the recently adopted acts (so called recodification of the Czech private law) whereas the thesis compares both. Notably problems of child sexual abuse prevention are stressed there. The practical part consists of two domains. The former one describes whether the sexual abuse prevention is really implemented at the first grade and with the help of what teaching method it is done so. The latter one presents an exercise book offering wide range of exercises. The exercise book is organized in chapters according to the way of sexual abuse prevention. The chosen prevention can be applied on such problems during classes.Diplomová práce je zaměřena na sexuální výchovu na prvním stupni základní školy. Teoretická část informuje o významu sexuální výchovy a vyzdvihuje problematiku prevence sexuálního zneužívání dětí. Praktická část je rozdělena na dvě oblasti.     Three-body segment musculoskeletal model of the upper limb

    The main aim is to create a computational three-body segment model of an upper limb of a human body for determination of muscle forces generated to keep a giv en loaded upper limb position. The model consists of three segments representing arm, forearm, hand and of all majo r muscles connected to the segments. Muscle origins and insertions determination corresponds to a real anatom y. Muscle behaviour is defined according to the Hill-type muscle model consisting of contractile and viscoelastic element. The upper limb is presented by a system of three rigid bars connected by rotational joints. The whole limb is fixed to the frame in the shoulder joint. A static balance problem is solved by principle of virtual work. The system of equation describing the musculoskeletal system is overdetermined because more muscles than necessary cont ribute to get the concrete upper limb position. Hence the mathematical problem is solved by an optimization method s earching the least energetically-consuming solution. The upper limb computational model is verified by electromyography of the biceps brachii muscle

    Use of electromyography measurement in human body modeling

    The aim of this study is to test the use of the human body model for the muscle activity computation. This paper shows the comparison of measured and simulated muscle activities. Muscle active states of biceps brachia muscle are monitored by method called electromyography (EMG) in a given position and for given subsequently increasing loads. The same conditions are used for simulation using a human body model (Hynˇc´ık, L., Rigid Body Based Human Model for Crash Test Purposes, EngineeringMechanics, 5 (8) (2001) 1–6). This model consists of rigid body segments connected by kinematic joints and involves all major muscle bunches. Biceps brachia active states are evaluated by a special muscle balance solver. Obtained simulation results show the acceptable correlation with the experimental results. The analysis shows that the validation procedure of muscle activities determination is usable
