    This Note proposes a rationale and a methodology for applying the business judgment rule when directors resist a hostile bid during the auction phase of a control contest. Part I examines the changes that occur in the responsibilities of target directors when a corporate auction is initiated. This Part describes the Unocal business judgment rule test and discusses its usefulness in the auction phase of a takeover. While the test requires modification if it is to complement effectively the auction-phase duties announced in Revlon, this Part suggests that the business judgment rule continues to be relevant and important during a corporate auction. Finally, this Part discusses target resistance in the auction phase, and closely examines the standard of review employed in CTS II to determine whether this case represents an undue departure from the use of the business judgment rule developed in Unocal and Revlon. Part II defines those situations in which the duty of loyalty analysis should supersede the business judgment rule. This Part distinguishes suspected conflicts of interest from manifest conflicts of interest, and argues that business judgment rule protection should be available in cases involving no more than a suspected conflict of interest. Finally, Part III formulates a standard of review for applying the business judgment rule in the auction phase. This Part suggests that the reasonableness of target resistance be measured using Delaware\u27s policy of facilitating corporate auctions for the maximization of shareholder gain

    The Canadian fiction of Margaret Laurence

    Between 1964 and 1974 Margaret Laurence (1926-1987) produced a body of fiction which established her as a major woman writer in a Canada where the emergence of post-war nationalism created a readiness to accept, buy and read books by Canadians about Canada. For this she created the town of Manawaka - partly based on her home town of Neepawa, Manitoba - which became the symbol of all Canadian small towns. The thesis is an examination in chronological order of her work: The stone angel, A jest of god, A Bird in the House (short stories).The Fire-Dwellers and the Diviners. Her writing deserves attention because it portrays Canadian life with integrity. As fiction by a woman about women, her work shows none of the romantic fantasising of the lesser novelist. Happy endings are never guaranteed; relationships have unharmonious elements. She reveals a society which imposes restraints on women, making it difficult to achieve self-fulfilment in a male-oriented environment where traditional role patterns stifle legitimate female aspirations. However, her novels are feminist by implication and not in an obtrusive or polemical way. An emergent theme is the injustice suffered by disadvantaged minorities represented by the metis of Manitoba whom she saw as dispossessed of their land by the Anglo-Saxon settlers. Mrs Laurence's technique was always experimental and developed from novel to novel. She employed variations of time and voice: the inner monologue is used to evoke an immediate response, the movement between past and present to highlight mood and temperament. These devices are examined in the thesis, as are her use of distinctive idiom and the symbolic elements of her writing. Finally, her honest attempt to depict the extraordinariness of ordinary people in carefully worked and sympathetically conceived stories speaks to the universal longing to learn about ourselves

    Reduced-order urban wind interference

    A novel approach is demonstrated to approximate the effects of complex urban interference on the wind-induced surface pressure of tall buildings. This is achieved by decomposition of the domain into two components: the obstruction model (OM) of the static large-scale urban context, for which a single computational fluid dynamics (CFD) simulation is run; and the principal model (PM) of the isolated tall building under design, for which repeatable reduced-order model (ROM) predictions can be made. The ROM is generated with an artificial neural network (ANN), using a set of feature vectors comprising an input of local shape descriptors and a range of wind speeds from a training geometry, and an output response of pressure. For testing, the OM CFD simulation provides the flow boundary condition wind speeds to the PM ROM prediction. The result is vertex-resolution surface pressure data for the PM mesh, intended for use within generative design exploration and optimisation. It is found that the mean absolute prediction error is around 5.0% (σ: 7.8%) with an on-line process time of 390 s, 27 times faster than conventional CFD simulation; considering full process time, only 3.2 design iterations are required for the ROM time to match CFD. Existing work in the literature focuses solely on creating generalised rules relating global configuration parameters and a global interference factor (IF). The work presented here is therefore a significantly alternative approach, with the advantages of increased geometric flexibility, output resolution, speed, and accuracy
