    Participación Familiar en la Gobernanza de Grupos Empresariales Familiares

    The paper analyzes the pervasiveness of family board memberships within family business groups (FBGs), which are large and diversified form of family businesses dominant in emerging economies. The data pertain to 2017 and include board information on 640 firms affiliated to the largest 26 FBGs in Turkey. The study cluster analyzes the FBGs according to family involvement in their governance. Derived from different theoretical lenses, it also aims to identify the variables that condition different clusters. Results show that several decades after liberalization, families still control the groups pervasively though with varying degrees. Regarding the extent of family involvement in governance, different clusters are identified as tight control, vertical control, and loose control. Ownership structure emerges as the main antecedent that differentiates FBGs in different clusters.  Este trabajo analizala presencia de los miembros de la junta familiar dentro de los grupos empresariales familiares (FBG, por sus siglas en inglés), que son grandes y diversificadas formas de negocios familiares dominantes en las economías emergentes. Los datos pertenecen al año 2017 e incluyen información sobre 640 empresas afiliadas a los 24 Grupos de Empresas Familiares más importantes de Turquía. El análisiscluster realizado estudialos grupos de empresas familiares según la implicación de la familia en su gobierno. En relación adiferentes puntos de vista teóricos, también tiene como objetivo identificar las variables que condicionan los diferentes grupos. Los resultados muestran que varias décadas después de la liberalización, las familias todavía controlan los grupos de forma generalizada, aunque con diversos grados. Con respecto al grado de participación de la familia en el gobierno, se identifican diferentes grupos: control estricto, control vertical y control flexible. La estructura de propiedad emerge como el antecedente principal que diferencia los FBG en diferentes los diferentes clusters

    Family business groups are dominant economic actors in emerging economies and play an important role in economic development and globalization efforts of their countries. This study reviews the literature on internationalization of family businessgroups by conducting a content analysis on 80 articles published in selected categories of SSCI journals between 2000 and 2015. Each article was coded along six dimensions and a model synthesizing the past findings was developed. Gaps in the literature were identified and avenues for further research were proposed, pointing out to variables and theories that may be considered.Los grupos de empresas familiares son los actores dominantes dentro de la economías emergentes y juegan un importante papel dentro del funcionamiento de la economía y del esfuerzo globalizador de sus países. Este trabajo analiza la literatura sobre internacionalización en grupos de empresas familiares mediante el análisis de contenido de 80 artículos publicados in categoría seleccionadas del SSCI entre los años 2000 y 2015. Cada artículo ha sido codificado en 6 dimensiones y un modelo que sintetiza los hallazgos pasados y su desarrollo. Se identificaron lagunas en la literatura y se proponenvías para futuras investigaciones, señalando las variables y teorías que pueden considerarse

    This study examines the response of large family business groups with respect to the boards of their affiliated firms to the recent strengthening of corporate governance discourse in Turkey and the governance principles introduced for listed companies. Our findings show that boards are largely composed of non-executive directors. However, these are either members of the controlling family or hold executive positions in the central administrative structure of the group or other affiliated firms and can therefore not be considered as outsiders. Independent directors are almost non-existent. Most of the dependent outsiders limited in number are either retired or work as consultants, of which, a significant proportion comes from public sector backgrounds, including active involvement in politics

    İç halkaya dâhil olmak: Türkiye'deki büyük aile holdinglerinde profesyonel yöneticiler

    Bu çalışmada, iç halka fikrini Türkiye’deki büyük aile holdingleri ortamına taşıyıp, görgül olarak inceliyoruz. Sorduğumuz soru, holdingin başında bulunan aile üyesinin etrafındaki iç halkaya dâhil olabilen profesyonel yöneticileri hangi iş ve eğitim deneyimlerinin ayırt ettiğidir. Bulgular, iç halkaya girenlerin uzun holding kıdemine ve devlet deneyimine sahip olmaları ihtimalinin diğer üst düzey yöneticilere kıyasla daha yüksek olduğunu göstermektedir. Yurtdışında çalışma deneyimi ile iç halka üyeliği arasında zayıf bir ilişki vardır. Bu sonuçlar, kuramsal temel olarak aldığımız iki kurumsalcı yaklaşımdan ulusal kurumsalcılığa, iktisadi olanına kıyasla daha fazla destek sağlamaktadır. Yöneticilerin eğitim geçmişine dair, yine bu iki yaklaşıma dayalı, hipotezlerimiz ise görgül destek görmemektedir
