Unlawful Securities Transactions and Scienter: An Emasculating Requirement

This comment suggests the proper construction of Washington’s unlawful transactions provision of the recently-adopted modified version of the Uniform Securities Act and rejects scienter as a necessary element of a violation of that provision. The discussion necessitates consideration of federal rule 10b-5, because the rule is the source of the Uniform Act\u27s unlawful transactions provision. The focus, however, is on the inapplicability of the United States Supreme Court\u27s analysis in <em>Ernst & Ernst v. Hochfelder </em>to the Washington Act\u27s construction

Duty to Advise of the Legal Risks from Business Transactions

(Excerpt) Lawyers owe specific duties to their clients, mainly with respect to reasonable legal advice. If reasonable care is not exercised by an attorney when providing legal advice and services, there is a potential for a malpractice claim against that attorney. For attorneys that represent businesses, however, legal advice can sometimes be blurred with business advice. It is important to note that lawyers are not business consultants and do not specifically owe a duty to their clients to protect them from poor business decisions. The problem occurs when it is hard to distinguish between the legal and business advice. These issues come to light in various types of cases. One example is where a client entered into a business deal that later turned out to be a Ponzi scheme, causing the client to file for bankruptcy. In Peterson v. Katten Muchin Rosenman LLP, the Seventh Circuit recognized the overlap that can occur between legal and business advice. Because of this overlap attorneys must provide advice regarding the different legal forms and risks associated with possible poor business decisions, especially if one of the risks could result in bankruptcy. Attorneys should now, as a precautionary measure, advise their clients of the risks that could result from their business decisions

Sympiler: Transforming Sparse Matrix Codes by Decoupling Symbolic Analysis

Sympiler is a domain-specific code generator that optimizes sparse matrix computations by decoupling the symbolic analysis phase from the numerical manipulation stage in sparse codes. The computation patterns in sparse numerical methods are guided by the input sparsity structure and the sparse algorithm itself. In many real-world simulations, the sparsity pattern changes little or not at all. Sympiler takes advantage of these properties to symbolically analyze sparse codes at compile-time and to apply inspector-guided transformations that enable applying low-level transformations to sparse codes. As a result, the Sympiler-generated code outperforms highly-optimized matrix factorization codes from commonly-used specialized libraries, obtaining average speedups over Eigen and CHOLMOD of 3.8X and 1.5X respectively.Comment: 12 page

    Multimodal agents for cooperative interaction

2020 Fall.Includes bibliographical references.Embodied virtual agents offer the potential to interact with a computer in a more natural manner, similar to how we interact with other people. To reach this potential requires multimodal interaction, including both speech and gesture. This project builds on earlier work at Colorado State University and Brandeis University on just such a multimodal system, referred to as Diana. I designed and developed a new software architecture to directly address some of the difficulties of the earlier system, particularly with regard to asynchronous communication, e.g., interrupting the agent after it has begun to act. Various other enhancements were made to the agent systems, including the model itself, as well as speech recognition, speech synthesis, motor control, and gaze control. Further refactoring and new code were developed to achieve software engineering goals that are not outwardly visible, but no less important: decoupling, testability, improved networking, and independence from a particular agent model. This work, combined with the effort of others in the lab, has produced a "version 2'' Diana system that is well positioned to serve the lab's research needs in the future. In addition, in order to pursue new research opportunities related to developmental and intervention science, a "Faelyn Fox'' agent was developed. This is a different model, with a simplified cognitive architecture, and a system for defining an experimental protocol (for example, a toy-sorting task) based on Unity's visual state machine editor. This version too lays a solid foundation for future research

Fil: Dapaz Strout, Lilia.
