The author questions the merits of certain aspects of the Code and the process which produced them. He examines the tender offer provisions in the Code and offers empirical evidence which demonstrates that regulation of tender offers under the Williams Act has increased the costs of tenders and has hurt investors. Noting that the goal of the Code is to protect investors, he concludes that the tender offer provisions fail to attain that goal

STARLING CONTROL IN LIVESTOCK FEEDING AREAS
The Denver Wildlife Research Center has been investigating methods to combat starling (Sturnus vulgaris) problems at livestock feeding areas since 1960. A variety of chemicals, baits, and methods of bait placement have been tested. This paper summarizes these investigations.
CHEMICALS TESTED About 500 chemicals have been screened for toxic and stupefacient effects on starlings. Although several chemicals have been found that immobilize starlings in the laboratory, they have been largely ineffective in the field; most starlings regurgitate the treated baits, and seldom have substantial numbers been affected. Of the toxicants screened, four compounds, TEPP, DRC-632, DRC-1327, and DRC-1339, have shown enough activity as control agents for starlings to warrant intensive investigation in the laboratory and the field
The spindle pole body of Schizosaccharomyces pombe enters and leaves the nuclear envelope as the cell cycle proceeds
This is the publisher's version, also available electronically from "http://www.molbiolcell.org".he cycle of spindle pole body (SPB) duplication, differentiation, and segregation in Schizosaccharomyces pombe is different from that in some other yeasts. Like the centrosome of vertebrate cells, the SPB of S. pombe spends most of interphase in the cytoplasm, immediately next to the nuclear envelope. Some gamma-tubulin is localized on the SPB, suggesting that it plays a role in the organization of interphase microtubules (MTs), and serial sections demonstrate that some interphase MTs end on or very near to the SPB. gamma-Tubulin is also found on osmiophilic material that lies near the inner surface of the nuclear envelope, immediately adjacent to the SPB, even though there are no MTs in the interphase nucleus. Apparently, the MT initiation activities of gamma-tubulin in S. pombe are regulated. The SPB duplicates in the cytoplasm during late G2 phase, and the two resulting structures are connected by a darkly staining bridge until the mitotic spindle forms. As the cell enters mitosis, the nuclear envelope invaginates beside the SPB, forming a pocket of cytoplasm that accumulates dark amorphous material. The nuclear envelope then opens to form a fenestra, and the duplicated SPB settles into it. Each part of the SPB initiates intranuclear MTs, and then the two structures separate to lie in distinct fenestrae as a bipolar spindle forms. Through metaphase, the SPBs remain in their fenestrae, bound to the polar ends of spindle MTs; at about this time, a small bundle of cytoplasmic MTs forms in association with each SPB. These MTs are situated with one end near to, but not on, the SPBs, and they project into the cytoplasm at an orientation that is oblique to the simple axis. As anaphase proceeds, the nuclear fenestrae close, and the SPBs are extruded back into the cytoplasm. These observations define new fields of enquiry about the control of SPB duplication and the dynamics of the nuclear envelope
Faculty Perceptions of Using Synchronous Video-Based Communication Technology
Online learning has traditionally relied on asynchronous text-based communication. The COVID-19 pandemic, though, has provided many faculty members with new and/or additional experience using synchronous video-based communication. Questions remain, though, about how this experience will shape online teaching and learning in the future. We conducted a mixed method study to investigate faculty perceptions of using synchronous video-based communication technology. In this paper, we present the results of our inquiry and implications for future research and practice
NGTS-4b: A sub-Neptune transiting in the desert
We report the discovery of NGTS-4b, a sub-Neptune-sized planet transiting a 13th magnitude K-dwarf in a 1.34 d orbit. NGTS-4b has a mass M = 20.6 ± 3.0 M⊕ and radius R = 3.18 ± 0.26 R⊕, which places it well within the so-called ‘Neptunian Desert’. The mean density of the planet (3.45 ± 0.95 g cm−3) is consistent with a composition of 100  per cent H2O or a rocky core with a volatile envelope. NGTS-4b is likely to suffer significant mass loss due to relatively strong EUV/X-ray irradiation. Its survival in the Neptunian desert may be due to an unusually high-core mass, or it may have avoided the most intense X-ray irradiation by migrating after the initial activity of its host star had subsided. With a transit depth of 0.13 ± 0.02 per cent, NGTS-4b represents the shallowest transiting system ever discovered from the ground, and is the smallest planet discovered in a wide-field ground-based photometric survey
