OPA en la legislación y en la práctica

Las ofertas públicas de adquisición de valores son un tipo de operación societaria por la que el oferente en cuestión se hace con un determinado número de acciones de la sociedad opada. El sistema de OPAs se reguló por primera vez en España en 1980, y a partir de entonces ha sufrido sucesivas modificaciones, la más importante con la aprobación de la Ley 6/2007, por la que se traspuso la Directiva de OPAs. El régimen vigente se define por las notas de obligatoriedad, y oferta total y a posteriori. Además del análisis de las líneas definitorias de dicho régimen, el estudio aborda un recorrido por el mercado español de OPAS a través de tres de las ofertas más importantes lanzadas en nuestro país. De dichos ejemplos se examinan sus notas más características y se establece finalmente una comparativa entre una serie de aspectos clave en su desarrollo.Grado en Derech

Reestructuración del sistema bancario. La unión bancaria

La unión bancaria es la respuesta principal de la Unión Europea a los problemas del sector financiero europeo derivados de la crisis económica internacional, fundamentalmente una situación de fragmentación financiera y de inestabilidad del euro. El proyecto iniciado en 2012, comprende una serie de cambios normativos y la implantación de un conjunto de instituciones que sirven a los objetivos de asegurar la estabilidad financiera de la Eurozona y de continuar el proceso de establecimiento de un mercado único de los servicios financieros. Probiotic and Functional Properties of Limosilactobacillus reuteri INIA P572

Limosilactobacillus reuteri INIA P572 is a strain able to produce the antimicrobial compound reuterin in dairy products, exhibiting a protective effect against some food-borne pathogens. In this study, we investigated some probiotic properties of this strain such as resistance to gastrointestinal passage or to colonic conditions, reuterin production in a colonic environment, and immunomodulatory activity, using different in vitro and in vivo models. The results showed a high resistance of this strain to gastrointestinal conditions, as well as capacity to grow and produce reuterin in a human colonic model. Although the in vitro assays using the RAW 264.7 macrophage cell line did not demonstrate direct immunomodulatory properties, the in vivo assays using a Dextran Sulphate Sodium (DSS)-induced colitic mice model showed clear immunomodulatory and protective effects of this strain.This work was supported by project no. Maternal plasma antioxidant status in the first trimester of pregnancy and development of obstetric complications

Oxidative stress is present in pregnancy complications. However, it is unknown if early maternal antioxidant status could influence later development of complications. The use of assisted reproduction techniques (ART) is rising due to the delay of first pregnancy and there is scarce information on its influence on oxidative balance. Objective To assess the possible relationship between maternal plasma antioxidant status in first trimester of gestation with later development of pregnancy complications, evaluating the influence of ART and nutrition. Methods Plasma from 98 healthy pregnant women was obtained at week 10, nutrition questionnaires filled and women were followed until delivery. We evaluated biomarkers of oxidative damage (carbonyls, malondialdehyde-MDA), antioxidants (thiols, reduced glutathione, phenolic compounds, catalase and superoxide dismutase activities) by spectrophotometry/fluorimetry and melatonin (ELISA). Antioxidant status score (Antiox-S) was calculated as the computation of antioxidants. Diet-antioxidants relationship was evaluated through multiple correspondence analysis. Results Melatonin and carbonyls exhibited a negative correlation. No difference in oxidative damage was found between groups, but Antiox-S was significantly lower in women who developed complications. No differences in oxidative damage or Antiox-S were found between ART and no-ART pregnancies. High consumption of foods of vegetable origin cluster with high plasma levels of phenolic compounds and with high Antiox-S. Conclusions In early normal gestation, low plasma antioxidant status, assessed through a global score, associates with later development of pregnancy complications. Student-professional meetings of the degree in Human Nutrition and Dietetics. Complementary activities to the Academic Practicum

En este proyecto nos hemos centrado en la creación de un programa docente cuyo fin ha sido complementar la formación académica de los estudiantes del grado de Nutrición Humana y Dietética. Hemos acometido este proyecto con la idea de acercar a los estudiantes al desarrollo de la profesión desde el punto de vista práctico de manera interactiva. Consideramos que el programa de actividades que hemos realizado ayuda al alumno a reforzar habilidades necesarias para el desarrollo profesional, orientándoles en el emprendimiento, capacidad de comunicación eficaz, desarrollo de la creatividad y trabajo multidisciplinar.In this project we have focused on the creation of a teaching program whose purpose has been to complement the academic training of students in the Human Nutrition and Dietetics degree. We have undertaken this project with the idea of bringing students closer to the development of the profession from a practical point of view in an interactive way.
