    Tender Offers in the European Community: The Playing Field Shrinks

    This Article discusses the Proposal in the European Community to standardize the tender offer process in the Single European Market of 1992. The Proposal promotes equal treatment of shareholders and contains substantive measures to achieve this goal. Mr. Greenbaum compares the Proposal to its United States counterpart, the 1968 Williams Act, notes the different approach taken by the Williams Act, with its emphasis on disclosure rather than substantive regulation, and examines these different approaches primarily in the context of hostile tender offers. Mr. Greenbaum shows that the Proposal\u27s procedural requirements for the bidder and restrictions on target management defenses leave both with a smaller tender offer playing field within which to maneuver. In addition, Mr. Greenbaum suggests that the Proposal may not be able to provide the type of shareholder protection it envisions unless there is stringent Community control of Member State anti-takeover regulation

    Repeated Origin and Loss of Adhesive Toepads in Geckos

    Geckos are well known for their extraordinary clinging abilities and many species easily scale vertical or even inverted surfaces. This ability is enabled by a complex digital adhesive mechanism (adhesive toepads) that employs van der Waals based adhesion, augmented by frictional forces. Numerous morphological traits and behaviors have evolved to facilitate deployment of the adhesive mechanism, maximize adhesive force and enable release from the substrate. The complex digital morphologies that result allow geckos to interact with their environment in a novel fashion quite differently from most other lizards. Details of toepad morphology suggest multiple gains and losses of the adhesive mechanism, but lack of a comprehensive phylogeny has hindered efforts to determine how frequently adhesive toepads have been gained and lost. Here we present a multigene phylogeny of geckos, including 107 of 118 recognized genera, and determine that adhesive toepads have been gained and lost multiple times, and remarkably, with approximately equal frequency. The most likely hypothesis suggests that adhesive toepads evolved 11 times and were lost nine times. The overall external morphology of the toepad is strikingly similar in many lineages in which it is independently derived, but lineage-specific differences are evident, particularly regarding internal anatomy, with unique morphological patterns defining each independent derivation

    A Fast Parallel Poisson Solver on Irregular Domains Applied to Beam Dynamic Simulations

    We discuss the scalable parallel solution of the Poisson equation within a Particle-In-Cell (PIC) code for the simulation of electron beams in particle accelerators of irregular shape. The problem is discretized by Finite Differences. Depending on the treatment of the Dirichlet boundary the resulting system of equations is symmetric or `mildly' nonsymmetric positive definite. In all cases, the system is solved by the preconditioned conjugate gradient algorithm with smoothed aggregation (SA) based algebraic multigrid (AMG) preconditioning. We investigate variants of the implementation of SA-AMG that lead to considerable improvements in the execution times. We demonstrate good scalability of the solver on distributed memory parallel processor with up to 2048 processors. We also compare our SAAMG-PCG solver with an FFT-based solver that is more commonly used for applications in beam dynamics

    Understanding International GNC Hardware Trends

    An industry-wide survey of guidance, navigation and control (GNC) sensors, namely star trackers, gyros, and sun sensors was undertaken in 2014, in which size, mass, power, and various performance metrics were recorded for each category. A multidimensional analysis was performed, looking at the spectrum of available sensors, with the intent of identifying gaps in the available capability range. Mission types that are not currently well served by the available components were discussed, as well as some missions that would be enabled by filling gaps in the component space. This paper continues that study, with a focus on reaction wheels and magnetometers, as well as with updates to the listings of star trackers, gyros, and sun sensors. Also discussed are a framework for making the database available to the community at large, and the continued maintenance of this database and the analysis of its contents
