    Agency in the Alternatives: Common-Law Perspectives on Binding the Firm

    This chapter in a forthcoming book examines the external aspects of agency law in the context of unincorporated firms, that is, the capacity of actors associated a firm to bind it to the legal consequences of interactions with third parties. The chapter focuses in particular on the impact of acts done by a representative for which the representative lacked actual authority. The chapter differentiates the terminology and concepts associated with partnership law from the common law of agency, in particular, a partner\u27s capacity to bind the firm albeit the partner lacks actual authority, which the chapter terms the partner\u27s positional power. Turning to LLCs, the chapter argues that basic agency issues are muddled, due in part to a historically explicable overhang of partnership concepts and terminology --- since obviated by changes in tax law --- and that the muddle most significantly (and surprisingly) affects LLCs organized under the Delaware LLC statute. The chapter demonstrates that such confusion is not inevitably and that, short of formal changes in statutory text, judicial decisions and an arguable consensus among expert lawyers may mitigate the confusion

    The Swedish automotive industry has since way back been struggling with bankruptcy, abroad buy outs and staff cuts. Competition and pressure on prices are two factors that affect the automotive industry. Because of this, the companies are pressured to continuously developing their work in addition to be able to compete on the market. The aircraft industry has successfully managed to implement additive manufacturing (AM) and for motorsport has several components manufactured with AM been used. When AM is used as a manufacturing method, there are a number of advantagesthat follows. One of the greatest advantages is the resource efficient manufacturing, with aspect to material efficiency, shortened developing time and a less complex design. But, regardless of these, AM is still standing in front of some challenges to further replace the traditional manufacturing methods and gain a larger market share. Herein we will investigate which the greatest opportunities that follow AM are. But also we will investigate which limitations that prevent a further use of AM. By analyzing earlier studies, using theory about operations management and studying empiricism from suitable companies. Our study indicates that opportunities and limitations do not only occur on a technical level but also at an operational level. The opportunities that follow with AM enable a larger market for minor automotive manufacturers. But some major limitations still prevent a further use of AM are the productivity, the investment cost and the lack of knowledge about AM.Den svenska fordonsindustrin har sedan flera Är prÀglats av konkurser, utlÀndska uppköp och nedskÀrningar. Konkurrensen och prispressen inom denna industri Àr vÀldigt stor. Detta stÀller stora krav pÄ tillverkarna att stÀndigt utveckla sin verksamhet. Inom flygplansindustrin har adderande tillverkning (AM) lyckosamt implementerats och inom motorsporten har flertalet AM-framstÀllda motorkomponenter anvÀnts. Med AM finns det flera fördelar, en av de största Àr resurseffektiv produktion, detta med avseende pÄ flera aspekter, som effektiv materialhantering, förkortade ledtider och enklare konstruktion. Tekniken har haft starkt uppsving och utvecklats starkt de senaste Ären och fungerar idag vÀl för tillverkning av funktionella komponenter. Men fortfarande stÄr AM inför stora utmaningar för att kunna ersÀtta de traditionella tillverkningsmetoderna och utöka sina marknadsandelar. Syftet med rapporten Àr att undersöka vilka de största möjligheterna Àr vid en anvÀndning av AM. Men vi kommer Àven att studera vilka begrÀnsningar som finns vid ytterligare anvÀndning av AM. Genom att anvÀnda tidigare studier, teorier om verksamhetsledning och studera relevanta företag empiriskt, indikerar vÄrt arbete pÄ att möjligheterna och begrÀnsningar inte endast uppstÄr pÄ en teknisk nivÄ, utan Àven pÄ en organisatorisk nivÄ. Möjligheterna som följer med AM möjliggör enstörre marknad för de mindre fordonstillverkarna. Men nÄgra större begrÀnsningar förhindrar fortfarande en bredare anvÀndning av AM; produktiviteten, investeringskostnaden och den bristande kunskapen om AM
