The influence of the principle of equity on the formation of the rules defining the remuneration of members of governing bodies in joint-stock companies (selected problems)

The system of remuneration can be a cause of serious confl icts between managers and stockholders, this including minority stockholders who have a lesser infl uence on the appointment of a company’s governing bodies. Analysis of the provisions of the Act of 15 September 2000, the Commercial Companies Code governing the remuneration of members of the management board and supervisory board, showed that within its scope legal controls are fragmentary, giving the company broad autonomy. Yet this autonomy is not of absolute nature and the company is obliged to comply with the principles of law, this including the principle of equity. In this article, the author analyses in detail one of the basic instruments for introducing the principle of equity which is the clause of good practice. The Commercial Companies Code does not specify how the term “good practice” should be understood. Therefore the author discusses opinions presented in jurisdiction as well as the stance of the doctrine; she also proposes her concept in this respect. In this article, a detailed analysis of the good practice applied in the case of jointstock companies is made, predominantly those regulated in the Good Practice of Companies Listed on WSE. Senior’s education process

Przedmiotem zainteresowania autorki jest proces kształcenia, w którym uczestniczą seniorzy. Autorka charakteryzuje poszczególne ogniwa tego procesu: stanowienie celów, dobór treści, metod, środków dydaktycznych i form kształcenia. W kształceniu seniorów proponuje realizację trzech celów globalnych: zrozumienie świata i umiejętność jego interpretacji, ukształtowanie postawy odpowiedzialności za siebie i swoją przyszłość, nauczenie seniorów rozwiązywania problemów życia codziennego. Wskazuje na potrzebę uwzględnienia w procesie kształcenia możliwości seniorów wynikających z funkcjonowania procesów poznawczych, inteligencji, stosowanych strategii kodowania informacji. W doborze metod zwraca uwagę na ograniczenia związane z faktem pogarszania się wzroku i słuchu. Postuluje szersze wykorzystanie indywidualnych form pracy. Podkreśla konieczność stosowania środków dydaktycznych adekwatnych do możliwości percepcyjnych seniorów oraz wyznaczenie dłuższych przedziałów czasowych na realizację poszczególnych ogniw procesu kształcenia. Rozważa problem wzmacniania efektów kształcenia seniorów przez pozytywne ocenianie, poprawianie funkcjonowania procesów poznawczych oraz wykorzystanie w pełni potencjału intelektualnego seniorów. Rozważania dotyczące planowania i realizacji procesu kształcenia seniorów autorka podsumowuje proponując nowe zasady dydaktyczne, dotyczące kształcenia seniorów: zasadę przestrzegania wysokiej jakości edukacji, zasadę częstego odwoływania się do doświadczeń życiowych seniorów, zasadę temporalności, zasadę pozytywnego oceniania efektów kształcenia oraz zasadę uwzględniania kondycji fizycznej i stanu zdrowia seniorów.The author is interested in the learning process with senior participation. She characterizes the particular elements of this process: setting goals, choice of content, methods, teaching aids and forms. She proposes three global goals in the teaching of seniors: understanding and interpreting the world, forming an approach consisting of responsibility for oneself and one's future and teaching seniors to solve everyday problems. She points to the necessity of taking into account senior's capabilities resulting from the functioning of cognitive processes, intelligence and information coding strategies used. She indicates limitations in methods stemming from the deterioration of vision and hearing. She also postulates a wider use of individual work. The author underlines the necessity of using didactic methods adequate for seniors' perception and setting longer time intervals for particular elements of teaching. These considerations pertaining to the planning and realization of the teaching process of seniors are summarized by the author in her new didactic rules for teaching seniors: the rule of high quality education, the rule of frequently using life experiences of seniors, the rule of temporality, the rule of the positive assessment of teaching effects and the rule of taking the seniors' health and physical condition into account

The text presents the views of Professor Wesołowska about the role of adult education in shaping public awareness of citizens in the context of applying for admission to the European Union. The article raises the issues of understanding the essence of awareness and its impact on human activities. Attention is drawn to the pathologising of the process of shaping consciousness and its consequences. The city as an educational space

przedmiotem zainteresowania jest edukacja (skierowana do osób dorosłych) dokonująca się w przestrzeni miasta metropolitalnego, ale także edukacja, w której przestrzeń miasta jest swoistym „edukatorem”. Autorka charakteryzuje proces metropolizacji miasta oraz nową klasę metropolitalną, opisuje różne przestrzenie miasta oraz zastanawia się nad możliwościami edukacji w zbliżeniu do siebie skrajnych zbiorowości społecznych, żyjących w miastach. Zwraca uwagę na brak uświadomienia sobie przez decydentów związków między edukacją a rozwojem miasta.the scope is education (aimed at adults) performed in a metropolitan space, but also education in which the city space is an „educator”. The author characterises the process of a city becoming a metropolis and a new metropolitan class, describes different spaces in the city and considers different possibilities for education in bringing closer social groups at extreme ends of the spectrum living in cities. Przedmiotem zainteresowania w niniejszym artykule są działania i przeżycia kobiet, które po wprowadzeniu stanu wojennego podjęły nielegalną działalność, najczęściej jako kontynuację swojej pracy w strukturach NSZZ Soli- darność. Działalność ta miała różny charakter – protestu czynnego lub biernego, a także wymiar praktyczny lub symboliczny. Autorka przedstawia działalność ko- biet poprzez analizę tzw. małych narracji, w których przedstawiają one swoje do- świadczenia radzenia sobie w złożonej, podwójnej sytuacji życiowej.The subject of interest in this article are activities and experiences of women who after the introduction of martial law have taken illegal activity, usually as a continuation of his work in the structures of the Solidarity Trade Union. This activity had a different character – a protest active or passive, as well as a practical dimension or symbolic. The author presents the activities of women by analyzing the so-called. small narrative, in which they present their experience of dealing with complex, double-life situation
