Why Do Institutional Investors Oppose Shareholder Activism? Evidence from Voting in Proxy Contests

This paper documents significant heterogeneity in institutional investors' support for shareholder activism in proxy contests and examines the following question: why do institutional shareholders frequently vote against activists when the activists’ actions increase the value of target firms? I propose that the voting decisions of institutional investors depend on the effect of shareholder activism on the return of the institutions’ combined shareholdings in both targets and their rival firms. Because institutions underweight target firms and activism could adversely affect the values of rival firms, institutional investors often lack incentives to support activists when gains on targets are diluted or offset by losses on rival firms. Using hand-collected data of mutual and pension fund voting in proxy contests, I find evidence that institutions that benefit less from activism events are less likely to support the activists, even when the activist’s effect on the target firm’s stock price is positive. Furthermore, when target firms do not have publicly-traded competitors, institutional investors are more likely to support activists. The evidence is consistent with the hypothesis that institutional investors’ portfolio returns explain whether or not they support activists

The Study of Typology of Competitive Actions in Digital Environment: An Empirical Investigation of Mobile Instant Messaging

The highly competitive and increasingly transparent characteristics of the digital environment have led inter-firm rivalry more frequently. Competitive actions and competitor’s responses together determine firms’ value creation. The key to obtain competitive advantages is to stop or delay competitor’s response. Therefore, our research question is which type of actions is the most effective in digital environment. Grounded in the framework of explorative/exploitative in the organizational learning literature, we organize competitive actions from two dimensions: resources based (strategic versus tactical) and innovation based (innovative versus efficient). This paper studies the competitive actions in mobile instant messaging industry and use structured content analysis to capture firms’ competitive actions. Finally, 113 matched competitive actions and responses were collected. Then, we compare the effects of different types of competitive actions from three aspects, that is the number of responses, response time and response quality. The results show that innovative-strategic action is the most effective action in digital environment. Our action-level study of MIM (mobile instant messaging) promotes better understanding of how firms interact with each other in digital environment. Moreover, the new typology of competitive action helps us identify competitive actions in digital environment more precisely and help managers to better understand industry dynamics thus developing appropriate strategies to compete in the industry

Factors influencing usage of e-wallet among Uum students

    Get PDF
The objective of this paper is to study the factors that affect the usage of E-wallet. Based on the technology acceptance model, the effects of perceived ease of use, perceived usefulness, social influence, security and convenience on the use of E-wallet are analyzed. In this study, 400 questionnaires were distributed to UUM students and 372 valid questionnaires were collected. SmartPLS is used to analysed the hypothesis whilst SPSS is used to analyse the descriptive data. The results show that perceived usefulness, perceived ease of use, security and convenience are significantly related to the behavior intention to use E-wallet, and social impact is not significantly related to the usage of E-wallet. This paper also discusses the limitations of this study, and puts forward suggestions for future research, providing better ideas for future researchers and E-wallet operators, and further popularizing the use of E-wallet

An Empirical Study of the Creation of Online Collaborative Capability from Formal Governance Perspective

    Get PDF
On the base of e-business process view and transaction cost economics, we propose the formation model of online collaborative capability, explore the creation process of online collaborative capability, and examine the complex role of formal governance. We adopt an empirical research method with structural equation modeling to verify the underlying hypotheses of the research model in a study of 202 manufacturing firms. The findings suggest that the creation process of online collaborative capability is online collaboration needs→online collaborative resources→online collaborative capability, and formal governance not only positively affects online collaborative capability, but also positively moderates the impact of online collaborative resources on online collaborative capability. This study has important theoretical and practical implications for enhancing e-business implementation, and reveals the complex role of formal governance in the creation process of online collaborative capability

Micro-CT Imaging of RGD-Conjugated Gold Nanorods Targeting Tumor In Vivo

Gold nanomaterials as computed tomography (CT) contrast agents at lower X-ray dosage to get a higher contrast have advantages of longer imaging time and lower toxic side effects compared to current contrast agents. As a receptor for Cyclo (Arg-Gly-Asp-D-Phe-Lys) (RGD) peptide, integrin αvβ3 is overexpressed on some tumor cells and tumor neovasculature. In this paper, we conjugated the RGD peptide on the surface of gold nanorods (AuNRs), designated as RGD-AuNRs, a promising candidate in applications such as tumor targeting and imaging capability for micro-CT imaging. Integrin αvβ3-positive U87 cells and integrin αvβ3-negative HT-29 cells were chosen to establish animal models relatedly and then texted the tumor targeting ability and imaging capability of RGD-AuNRs in vitro and in vivo. The MTT assay and stability measurement showed that RGD-conjugation eliminated their cytotoxicity and improved their biocompatibility and stability. Dark-field imaging of U87 cells and HT-29 cells testified the binding affinities and uptake abilities of RGD-AuNRs, and the results showed that RGD-AuNRs were more specifical to U87 cells. The enhanced micro-CT imaging contrast of intramuscular and subcutaneous injection illustrated the feasibility of RGD-AuNRs to be contrast agents. Furthermore, the micro-CT imaging of targeting U87 and HT-29 tumor models verified the targeting abilities of RGD-AuNRs
