    Appraisal : shareholder remedy or litigation arbitrage?

    We present the first large-sample empirical study on the recent trends in the appraisal remedy—the right of shareholders of companies completing an eligible merger to petition the court for an improved price for their shares. Appraisal petitions have increased markedly over our sample from 2000 to 2014, and the composition of those bringing these suits has shifted from individual shareholders towards specialized hedge funds. Appraisal petitions are more likely to be filed against mergers with perceived conflicts of interest, including going-private, minority squeeze-outs, and acquisitions with low premiums, making them a potentially important governance mechanism. Appraisals yield sizable excess returns to the petitioners with an average annualized return of 32.9%, suggesting that appraisals also act as a litigation arbitrage. Finally, we explore the likely effects of two recent changes to the Delaware appraisal statute—regarding the minimum stake and interest payment—on the incentives to file appraisal petitions

    Objective: To report a case of Tako-tsubo cardiomyopathy in a blind woman.Case presentation: We report a confirmed case of Tako-tsubo cardiomyopathy in a 55-year-old blind woman with past medical history of ocular trauma. The patient suffered from sudden chest pain after a quarrel. Transthoracic echocardiogram (TTE) showed regional wall motion abnormalities. Coronary angiogram showed no significant coronary stenosis, but ventriculogram demonstrated apical ballooning akinesis and hypercontraction in the basal segments. The follow-up TTE revealed a recovery of systolic function 6 weeks later.Conclusion: We report a case of Tako-tsubo cardiomyopathy after a quarrel, implicating that severe emotional or physical stress could trigger myocardial stunning.Keywords: Tako-tsubo cardiomyopathy, ocular trauma, blindness, postmenopaus

    Computational Simulations to Predict Creatine Kinase-Associated Factors: Protein-Protein Interaction Studies of Brain and Muscle Types of Creatine Kinases

    Creatine kinase (CK; EC 2.7.3.2) is related to several skin diseases such as psoriasis and dermatomyositis. CK is important in skin energy homeostasis because it catalyzes the reversible transfer of a phosphoryl group from MgATP to creatine. In this study, we predicted CK binding proteins via the use of bioinformatic tools such as protein-protein interaction (PPI) mappings and suggest the putative hub proteins for CK interactions. We obtained 123 proteins for brain type CK and 85 proteins for muscle type CK in the interaction networks. Among them, several hub proteins such as NFKB1, FHL2, MYOC, and ASB9 were predicted. Determination of the binding factors of CK can further promote our understanding of the roles of CK in physiological conditions

    Cross-linked CoMoO4/rGO nanosheets as oxygen reduction catalyst

    Development of inexpensive and robust electrocatalysts towards oxygen reduction reaction (ORR) is crucial for the cost-affordable manufacturing of metal-air batteries and fuel cells. Here we show that cross-linked CoMoO4 nanosheets and reduced graphene oxide (CoMoO4/rGO) can be integrated in a hybrid material under one-pot hydrothermal conditions, yielding a composite material with promising catalytic activity for oxygen reduction reaction (ORR). Cyclic voltammetry (CV) and linear sweep voltammetry (LSV) were used to investigate the efficiency of the fabricated CoMoO4/rGO catalyst towards ORR in alkaline conditions. The CoMoO4/rGO composite revealed the main reduction peak and onset potential centered at 0.78 and 0.89 V (vs. RHE), respectively. This study shows that the CoMoO4/rGO composite is a highly promising catalyst for the ORR under alkaline conditions, and potential noble metal replacement cathode in fuel cells and metal-air batteries

    Deficiency of Mkrn2 causes abnormal spermiogenesis and spermiation, and impairs male fertility.

    Although recent studies have shed insights on some of the potential causes of male infertility, new underlining molecular mechanisms still remain to be elucidated. Makorin-2 (Mkrn2) is an evolutionarily conserved gene whose biological functions are not fully known. We developed an Mrkn2 knockout mouse model to study the role of this gene, and found that deletion of Mkrn2 in mice led to male infertility. Mkrn2 knockout mice produced abnormal sperms characterized by low number, poor motility, and aberrant morphology. Disruption of Mkrn2 also caused failure of sperm release (spermiation failure) and misarrangement of ectoplasmic specialization (ES) in testes, thus impairing spermiogenesis and spermiation. To understand the molecular mechanism, we found that expression of Odf2, a vital protein in spermatogenesis, was significantly decreased. In addition, we found that expression levels of Odf2 were decreased in Mkrn2 knockout mice. We also found that MKRN2 was prominently expressed in the sperm of normal men, but was significantly reduced in infertile men. This result indicates that our finding is clinically relevant.
