Energia come community asset e orizzonte di sviluppo per le imprese di comunitĂ
Le nuove tecnologie per le produzioni distribuite di energia stanno raggiungendo un livello di maturità che lascia presagire un diffuso sviluppo di iniziative dal basso nella costituzione di “sistemi energetici locali”. Queste formule hanno un ruolo cruciale per la ridiscussione dell'intero sistema infrastrutturale e del mercato dell'energia. Se questo tema è ampiamente discusso dal punto di vista tecnologico e ingegneristico, il dibattito sulle caratteristiche delle organizzazioni che dovranno guidare le iniziative locali è appena iniziato. L'obiettivo del paper è di verificare a che punto è il dibattito nella diffusione dei sistemi energetici locali, gli approcci sperimentati e quale possibile ruolo per le imprese di comunità . Il key-issue evidenziato è rappresentato dagli aspetti normativi e regolatori relativi al “grande” mercato energetico. Un “ecosistema normativo” basato su operatori, produzioni e reti “centralizzate”che poco si presta alle particolari esigenze delle iniziative locali. L'analisi intende aprire un nuovo orizzonte di diffusione delle “Imprese di Comunità Energetiche”, concludendo con una riflessione sul ruolo nel dibattito generale sul tema e nello sviluppo di città e territori policentrici
SOCIETĂ€ SEMPLICE, AMMINISTRATORE ESTRANEO E RAPPORTO COL PATTO LIMITATIVO DELLA RESPONSABILITĂ€
Il decreto del Giudice del Registro di Roma porta sulla ribalta un grande classico del diritto
delle societĂ di persone, ovvero la possibilitĂ di designare amministratore un
soggetto non socio. Nello specifico il tema riemerge con riguardo alla societĂ semplice, ovvero il tipo in cui,
a causa della controversa interazione tra patto limitativo della responsabilitĂ (di cui
all’art. 2267 comma 1) e posizioni di rappresentanza (soci che hanno agito in nome
e per conto della societĂ ), maggiori erano le perplessitĂ registrate nel dibattito
dottrinale e giurisprudenziale rispetto al quadro apparentemente piĂą nitido in tema
di snc e di sas. Il Giudice del Registro di Roma accoglie la tesi piĂą permissiva, ma
fissa un preciso paletto ancorando la legittimitĂ della designazione del terzo al
mancato inserimento in atto costitutivo del patto limitativo (preservando dunque
la responsabilitĂ personale e solidale di tutti i soci, che nel caso di specie sono
due societĂ di capitali straniere). Il commento prova a ricostruire i riflessi sullo
specifico problema interpretativo dell’evoluzione della disciplina di riferimento,
ed in particolare la piena legittimazione della partecipazione di societĂ di capitali
in società di persone (2003), la prima novella dell’art. 2257 col Codice della crisi
(2019) e la seconda novella col decreto correttivo (2020). Ne scaturisce un quadro
ancora offuscato in diversi punti e suscettibile di ulteriori sviluppi
Trasformazioni eterogenee atipiche e limiti all'autonomia privata
The Italian Civil Code provided for the change of companies’ form (“trasformazione”) ever since it was enacted in 1942. In particular, the law regulated the modification of partnerships (“società semplice” and “società in nome collettivo”) into corporations (“società per azioni” and “società a responsabilità limitata”). Despite the silence of the law, the modification of corporations into partnerships was also admitted.
Back in 2003, Italian corporate law was deeply reformed. As to the change of companies’ form, the new law has granted the possibility of modifying partnerships and corporations into other legal entities, including non-profit organizations (e.g., foundations, associations, etc.). The new regulation calls for a new approach by corporate scholars.
This work aims at studying in depth the implications brought by the new regulation, devoting attention to the extent of the “same-entity principle” (“principio di continuità ”) and addressing the issue of those modifications of form that are not specifically envisaged by the law
GPR applications across Engineering and Geosciences disciplines in Italy: a review
In this paper, a review of the main ground-penetrating radar (GPR) applications, technologies, and methodologies used in Italy is given. The discussion has been organized in accordance with the field of application, and the use of this technology has been contextualized with cultural and territorial peculiarities, as well as with social, economic, and infrastructure requirements, which make the Italian territory a comprehensive large-scale study case to analyze. First, an overview on the use of GPR worldwide compared to its usage in Italy over the history is provided. Subsequently, the state of the art about the main GPR activities in Italy is deepened and divided according to the field of application. Notwithstanding a slight delay in delivering recognized literature studies with respect to other forefront countries, it has been shown how the Italian contribution is now aligned with the highest world standards of research and innovation in the field of GPR. Finally, possible research perspectives on the usage of GPR in Italy are briefly discussed
ContrattulitĂ delle restituzioni nella risoluzione per inadempimento
Il lavoro si compone idealmente di due parti: la prima è dedicata all’analisi del regime delle obbligazioni restitutorie conseguenti a risoluzione, con particolare riferimento alla tesi che ritiene che fonte di tutte le obbligazioni restitutorie sia la ripetizione dell’indebito. L'analisi induce a ritenere il sodalizio risoluzione-indebito difficilmente coordinabile, se non incompatibili sotto diversi e rilevanti aspetti.
Nella seconda parte della tesi viene illustrata un’originale proposta ricostruttiva.
La valorizzazione di alcune norme in materia di compravendita permette di rinvenire, nella parte speciale dei contratti, alcune direttive che consentono di identificare nel contratto lo strumento base su cui ricostruire regime e disciplina delle restituzioni
The academic network in the sector of psychology as a strategy of innovation for non profit enterprises
Aim: The present study aims to explore the issue of innovation and public-private partnership by presenting an analysis of the economic and non-economic effects produced by the collaboration between an Italian Social Cooperative and the academic sector. The main questions addressed by the study are: does the collaboration with the university sector boost the economic growth of social enterprises, both in their start up phase and afterwards? Does the collaboration with the university sector promote social innovation?Methods: The authors analyzed: (1) number of agreements (cumulative data) and number of interns, PhD students, and master students operating at the target Social Cooperative per year; (2) number of agreements (cumulative data) and number of internships per year for the target Social Cooperative and 4 other organizations replicating its model; (3) annual income from privates (in euros) per year for each organization; (4) awards and recognitions gained by the target Social Cooperative throughout the years. Results: Besides the existing differences among the observed organizations, data seem to confirm that the relationship with the university sector does not promote, at least in the initial phase, any important outcome in terms of income growth. Moreover, despite the description and amount of grants might not represent an "objective" measure of social innovation, it is undeniable that the target Cooperative shows a propensity to social innovation which is recognized by third parties too. Discussion: Although the data seem to disincentive, at least in the start up phase, the assumption that the university represents an economic or marketing boost, future studies might investigate other strategies to measure the qualitative and quantitative relationship between private companies and universities, in order to find different correlations with the social innovation issue and other economic and financial variables
