Abstract
U ovom radu analizirana je obveza kupca da obavijesti prodavatelja o neusklađenosti robe u smislu Bečke konvencije (CISG), s posebnim naglaskom na oblik, sadržaj i rokove za obavijest, kao i na iznimke koje Konvencija predviđa. Polazište rada bilo je šire tumačenje pojma neusklađenosti u Bečkoj konvenciji u usporedbi s konceptom materijalnog nedostatka u hrvatskom Zakonu o obveznim odnosima. Odredbe članaka 38.-40. Konvencije detaljno su obrađene kroz prikaz pravne teorije i sudske prakse. Posebna pažnja usmjerena je na tumačenje „razumnog roka“, koji se u sudskoj i arbitražnoj praksi određuje fleksibilno, ovisno o okolnostima konkretnog slučaja. Također su analizirani i članci 40. i 44., koji predviđaju iznimke od gubitka prava kupca u slučaju nepravodobne obavijesti. U radu su uvažena i mišljenja CISG Advisory Councila br. 2 te brojni relevantni sudski slučajevi, kako bi se prikazalo kako se teorijska pravila Konvencije primjenjuju u praksi te na koji način doprinose ravnoteži pravne sigurnosti i pravičnosti u međunarodnoj trgovini.This paper analyzes the buyer's obligation to notify the seller of a lack of conformity of the goods under the United Nations Convention on Contracts for the International Sale of Goods (CISG), with particular emphasis on the form, content, and timing of the notice, as well as on the exceptions provided by the Convention. The starting point of the analysis is the broader interpretation of the concept of non-conformity under the CISG compared to the concept of material defect in the Croatian Obligations Act. The provisions of Articles 38 to 40 of the Convention are examined in the detail through legal theory and case law. Special attention is given to the interpretation of the „reasonable time“ requirement, which is flexibly assessed in judicial and arbitral practice depending on the circumstances of each specific case. Articles 40 and 44, which provide exceptions from the loss of rights due to late notification, are also analyzed. The paper incorporates the opinion of CISG Advisory Council No. 2 and numerous relevant court decisions in order to illustrate how the Convention's theoretical rules are applied in practice and how the contribute to the balance between legal certainty and fairness in international trade
