Régimen concursal uruguayo

Abstract

Este trabajo describe brevemente la reforma concursal vigente en Uruguay desde 2008. Los trámites concursales uruguayos se caracterizaron durante décadas por una pluralidad de procedimientos ineficaces, lentos y caros. Esta ley, inspirada\ud en la española simplificó y unificó el régimen concursal. Creó una estructura general con una fase inicial que puede derivar en una etapa de convenio o de liquidación\ud (con regulación similar a la española). Además de otras diferencias importantes con el régimen español, el uruguayo incluye los acuerdos privados de reorganización que permiten al deudor acordar quitas o esperas, entre otras cosas, con una mayoría de sus acreedores pero que obligan prácticamente a todos.This paper briefly describes the bankruptcy law effective in Uruguay since 2008. Former bankruptcy legislation established various proceedings considered over the decades to be inefficient, slow and expensive. The new law, drafted using the Spanish as a model, simplified and unified the bankruptcy regulations. It created a general procedure with a common initial stage, after which either an agreement (to allow the debtor to continue its business) or a liquidation phase can follow (both with a regime similar to the Spanish one). Despite some other differences with the Spanish law, under Uruguayan law restructuring agreements establishing debt¿swaps, debt reductions or different repayment schedules, (among other stipulations), can be reached. Once approved by a certain majority of creditors these agreements are binding virtually on all of them
