This research aims to describe how agreement of capital venture profit-sharing conducted between capital venture company with investee company and describes legal protection owned by PT. Sarana Surakarta Ventura over funding with profit-sharing given to investee company. Approaching method used in this research is juridical-normative. Type of research used is to describe every single detail of the state subjectively. This research shows that agreement of funding in form of profit sharing reduces the characteristic of capital venture itself, because its profit-sharing has similarity with system conducted on bank or shariah product such as Musyarakah and Mudharabah. Legal protection from capital company is used to protect funding provided to its investee company
