Abstract
Dissertação de Mestrado em SolicitadoriaNeste Projeto Avançado, com o tema “A Função da Locação Financeira”, o
objetivo é, desenvolvermos os aspetos mais significativos deste contrato, com
base numa análise clara, sobre a sua origem e evolução, dando destaque à
sua função jurídica, económica e financeira.
A moderna locação financeira, surge nos Estados Unidos da América, no ano
de 1936, expandindo-se, gradualmente ao longo do século XX. Após o
desenvolvimento americano, surge na Europa com a crescente expansão das
empresas europeias. Em Portugal, a locação financeira aparece por meados
dos anos 70.
Esta figura jurídica suscitou e ainda suscita interesse, quer na doutrina quer na
jurisprudência, pelas semelhanças e diferenças do contrato de locação
financeira com outros contratos, entre os quais: a locação; a locação restitutiva;
a locação operacional; o renting; a compra e venda a prestações com reserva
de propriedade e o mútuo. Apesar de se encontrar semelhanças com outros
contratos, é um contrato que apresenta características jurídicas muito próprias.
No âmbito da locação financeira, relativamente à sua função jurídica,
analisámos o seu regime jurídico e verificámos que se trata de um contrato
celebrado entre dois sujeitos (locador, locatário), em que o locador cede um
determinado bem (móvel ou imóvel) ao locatário, por um prazo estabelecido,
em troca de um pagamento periódico (rendas). O locatário tem o direito de
utilizar o bem, e no final do contrato, a possibilidade de comprar esse mesmo
bem, mediante o pagamento do valor residual. Sobre a função económica do
contrato de locação financeira, relevámos o risco de perecimento do bem, que
ocorre por conta do locatário, visto ser ele quem detém a propriedade
económica. Por fim, a sua função financeira, também foi objeto de análise e verificámos que o contrato de locação financeira permite disponibilizar um
crédito através da concessão do gozo do bem ao locatário financeiro, por uma
Sociedade Financeira ou Instituição Financeira de crédito.Through this advanced project, with the theme "The Function of Leasing," the
objective is develop the most significant aspects of this contract, based on a
clearly analysis about origin and evolution, highlighting its legal, economic and
financial function.
The origin of modern leasing, this appeared in the United States in 1936,
expanding gradually over the twentieth century. Regarding the evolution of the
leasing, after the American development, emerges in Europe with the
increasing expansion of European business. In Portugal, the leasing is given by
the mid-'70s.
However, this legal figure raised and still raises interest, expressed either in
doctrine and national jurisprudence, the similarities and distinctions of the
leasing contract with other contracts including: lease, restitution leasing;
operational leasing; renting, purchase and sale by installments with reservation
of ownership; mutual. Despite the similarities with other contracts, is a contract
with very own legal characteristics.
Within the function of leasing, we analyze their legal function and find out that it
is a contract between two individuals (lessor, lessee), in which the lessor gives
a particular good (movable or immovable) to lessee for a period established in
exchange for a periodic payment (rent). The lessee has the right to use the
good and at the end of the contract the possibility of buying the same good, by
paying the residual value. As for the economical function, the risk of devalue of
the good is on behalf of the lessee, since it´s him who holds the economic
property, hence he´s the one responsible for it. At last and finally, its financial
function was also analyzed, and found that the leasing contract provide a credit
by offering the enjoyment of the asset to the financial lessee, through a
Financial Society or Institution
