ARTICLES OF INCORPORATION OF ADDICTION PREVE-1TION INC . To : The Recorder of Deeds, D. c. Washington , D. C. We , the undersigned natural persons of the age of twenty- one years or more, acting as incorporators of a corporation adopt the following Articles of Incorporation for such corporation pursuant to the District of Columbia _lon-profi t Corporation Act: FIRST: The name of the corporation is Addiction Prevention. SECOND: The period of duration is perpetual . THIRD: The purposes for which the corporation is organized are as follows : a) said corporation is organized exclusively to eradicate drug and alcohol abuse and promote health maintenance through pre -ventive educational programs and training projects . FOURTH: The corporation shal l exercise the following powers only in furtherance of its exempt purposes: a) to purchase, take, receive, lease , take by gift, devise or bequest, or otherwise acquire, own, hold, improve, use, and otherwise deal in and with, real or personal property, or any interest therein, wherever situated; b) to sell, convey, mortgage, pledge , lease, exchange, transfer, and otherwise dispose of all or any part of its property and assets; c) to lend money to and otherwi se assist its employees other than its officers and directors; d) to purchase , take, receive, subscribe for, or otherwise acquire, own, hold , vote, use, employ, se ll , mortgage, loan, pledge, or otherwise dispose of, and otherwise use and deal in and with, shares of other interests in, or obligations of , other domestic or foreign corporations, whether for profit or not for profit, associations, partnerships, or individuals , or direct or indirect obligations of the United States, or of any other government, State, territory , govern -mental district , or municipality or of any instrumentality thereof; e) to make contracts and incur liabilities, borrow money at such rates of interest as the corporation may determine, issue its notes, bonds, and other obligations, and secure any of its obligations by mortgage or pledge of all or any of its property, franchises and income ; f) to lend money for its corporate purposes, invest and reinvest its funds, and take and hold real and personal property as security for the payment of funds so loaned or invested; g) to conduct its affairs, carry on its opera-tions , hold property , and have offices and exercise the powers granted by this chapter in any part of the world; h) to elect or appoint o f ficers and agents of the corporation , and define their duties and fix tl1eir compensation;' i) to make and alter by l aws, not inconsistent with its articles of i ncorporation or with the laws of the Distr i ct of Colu.inbia, for the administration and regulation of the affairs of the corporation; j) to make donations for the public welfare or for religious, charitable, scientific re -search, or educationa l purposes, or for other purposes for wh i ch the corporation is organized; k) to idemnify any director or officer or former director or officer o f the corporation , or any person who may have served at its request as a director or officer of another corpora-tion , whether for profit or not for profit, against expenses actually and necessarily incurred by him in connection with the defense of any action , suit, or proceeding in which he is made a party by reason of being or having been such director or officer, except in relation to matters as to which he shal l be adjudged in such action, suit , or proceeding to be liable for negligence or misconduct in the per formance of a duty . Such idemnification shall not be deemed ex-clusive of any other rights to which such director or officer may be e ntitled , under any bylaw, agreement, vote of board of direct-ors or members, or otherwise; 1) to have and exercise all power s necessary or convenient to effect any or all of the exempt purposes for which the corporation is organize FIFTH: No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, its members , trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make pay-ments and distributions in furtherance of the purposes set forth in Article Third hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corpora-tion shall not participate in, or intervene in (including the publishing or distribution 6f ·statements) any political cam-paign on behalf of any candidate for public office . Notwith-standing any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal income tax under section 50l{c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or (b) by a corporation, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law ) . SIXTH: Upon the dissolution of the corporation the Board of Directors shall, after paying or making provisions for the payment of all of the liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the pur-poses of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable educational, religious, or scientific purposes as shall at the time qualify as an exempt organization or organi zations under section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Directors shall determine . SEVENTH : The corporation shall have members. EIGHTH : The corporation shall have one class of members . The designation, manner of election or appointment and the qualifications and rights of the members shall be set forth in the bylaws. INTH: The manner of election or appointment of the Board of Directors shall be provided in the bylaws . TENTH: Provisions for the regulation o f the internal affairs of the corporation shall be provided in the bylaws.
