The Czech Fundamental Opinion Dealing with the Liability of Directors

Abstract

This paper I would like to devote to a very narrow area of the liability relevant to the liability of directors. In my opinion the legal regulation dealing with the liability of directors is very specific in contrast to liability of the other person and unfortunately nowadays is that area very controversial due to very uncertain legal regulation of the liability of the directors in many European countries. In that paper I would like to provide fundamental view of the differences between the Czech legal regulation of the liability of directors and the liability of other legal person. Especially, I would like to focus on the specific level of the liability of directors in connection with the points of view of the European Court of Justice. The aim of that paper is to give notice to the purpose of the legal regulation relevant to the liability of the directors and in that way to assist with the improving of that uncertain legal regulation in that area.person, legal institute, legal regulation, director, personal liability
