Portuguese translation of Patient and Observer Scar Assessment Scale (POSAS)
INTRODUCTION: The scar assessment is a useful tool in surgical intervention and other treatments by documenting efficacy and making possible to improve them. There is no record of a standard scale in Portuguese to scar evaluation, and the Patient and Observer Scar Assessment Scale (POSAS) was chosen to translation and validation for having received the best evaluations in reviews, and because it contemplates the patients' perception.
METHODS:We translated the POSAS scale from English to Portuguese. The translation was based on orientations from the World Health Organization, with permission from the main author of the original scale. Before the pre-testing, the translated scale was sent to the authors of the original scale for analysis, and adjusts were made.
RESULTS: The pre-testing version was applied by three examiners in five patients each (n = 15), and difficulties were reported to the authors. No alterations were necessary during the pre-test.
CONCLUSION: In this manuscript, we present the translation process of POSAS, and its validation is now in progress
Práticas de governança corporativa adotadas por companhias fechadas brasileiras e alinhamento às demandas do mercado de capitais
The current debate on the benefits of adopting good corporate governance practices (CGP) seems to be leading an increasing number of Brazilian companies to enter the New Market’ and Differentiated Levels of Corporate Governance’ segments of the Brazilian stock market (BM&FBovespa). However, if many publicly traded companies fall short of CGP standards, what to expect from the large number of companies which remain on the traditional market? The objective of this exploratory study was to assess the level of CGP adopted by privately traded Brazilian companies. Information was gathered through a review of company documents and the administration of a questionnaire to a convenience sample of 36 private companies. Overall, findings for share holder concentration and composition, transfer of control and family boards did not meet recommended CGP standards, but the fact that 11 companies had a family board and extended tag-along rights to shareholders shows interest in reducing conflicts of interest between majority and minority shareholders. Although the companies in the sample revealed little awareness of the importance of internal auditing and the board of auditors, most adopted good practices of independent auditing as recommended by the government agencies regulating the capital market and audit professionals and showed concern for legality and social and environmental practices.Key words: corporate governance practices, privately traded brazilian companies, capital market.O debate acerca dos benefÃcios da adoção de boas práticas de governança corporativa pareceter incentivado as empresas brasileiras a aderir aos segmentos Novo Mercado e NÃveis Diferenciados da BM&FBovespa, a julgar pelo crescente número de companhias ali registradas. Contudo, observa-se ainda que um elevado número de empresas permanece no mercado tradicional, não sendo, em tese, usuárias de boas práticas de governança corporativa. Sendo essa a realidade das companhias abertas, o que, então, poder-se-ia dizer das companhias fechadas? Nesse contexto, o presente artigo procura mapear o atual estágio de práticas de governança corporativa adotadas por empresas brasileiras de capital fechado. O estudo exploratório se utilizou de pesquisa documental e levantamento de dados por meio de questionário em amostra por acessibilidade composta de 36 companhias fechadas brasileiras. Os resultados da pesquisa revelaram importantes aspectos, quais sejam: embora os resultados obtidos referentes à Concentração acionária, Composição acionária, Transferência de Controle e Conselho de famÃlia não sejam muito alinhados com as boas práticas de governança corporativa, o fato de 11 empresas praticarem tag along e possuÃrem conselho de famÃlia de monstra alguma preocupação com redução de conflitos de interesses entre majoritários e minoritários; as empresas pesquisadas ainda não têm muito clara a utilidade e a função do Comitê de auditoria e da Auditoria interna. Entretanto, no tocante à Auditoria independente, a maioria das empresas adota práticas salutares, alinhadas com o que é propugnado por entidades reguladoras do mercado de capitais e profissionais de auditoria; e a maioria das empresas revelou preocupação com práticas sociais e ambientais e conformidade legal.Palavras-chave: governança corporativa, companhias fechadas brasileiras, mercado de capitais
