"Looking behind the veil": invisible corporate intangibles, stories, structure and the contextual information content of disclosure
Purpose â This paper aims to use a grounded theory approach to reveal that corporate private disclosure content has structure and this is critical in making "invisible" intangibles in corporate value creation visible to capital market participants.
Design/methodology/approach â A grounded theory approach is used to develop novel empirical patterns concerning the nature of corporate disclosure content in the form of narrative. This is further developed using literature of value creation and of narrative.
Findings â Structure to content is based on common underlying value creation and narrative structures, and the use of similar categories of corporate intangibles in corporate disclosure cases. It is also based on common change or response qualities of the value creation story as well as persistence in telling the core value creation story. The disclosure is a source of information per se and also creates an informed context for capital market participants to interpret the meaning of new events in a more informed way.
Research limitations/implications â These insights into the structure of private disclosure content are different to the views of relevant information content implied in public disclosure means such as in financial reports or in the demands of stock exchanges for "material" or price sensitive information. They are also different to conventional academic concepts of (capital market) value relevance.
Practical implications â This analysis further develops the grounded theory insights into disclosure content and could help improve new disclosure guidance by regulators.
Originality/value â The insights create many new opportunities for developing theory and enhancing public disclosure content. The paper illustrates this potential by exploring new ways of measuring the value relevance of this novel form of contextual information and associated benchmarks. This connects value creation narrative to a conventional value relevance view and could stimulate new types of market event studies
A conceptual framework for changes in Fund Management and Accountability relative to ESG issues
Major developments in socially responsible investment (SRI) and in environmental, social and governance (ESG) issues for fund managers (FMs) have occurred in the past decade. Much positive change has occurred but problems of disclosure, transparency and accountability remain. This article argues that trustees, FM investors and investee companies all require shared knowledge to overcome, in part, these problems. This involves clear concepts of accountability, and knowledge of fund management and of the associated âchain of accountabilityâ to enhance visibility and transparency. Dealing with the problems also requires development of an analytic framework based on relevant literature and theory. These empirical and analytic constructs combine to form a novel conceptual framework that is used to identify a clear set of areas to change FM investment decision making in a coherent way relative to ESG issues. The constructs and the change strategy are also used together to analyse how one can create favourable conditions for enhanced accountability. Ethical problems and climate change issues will be used as the main examples of ESG issues. The article has policy implications for the UK âStewardship Codeâ (2010), the legal responsibilities of key players and for the âCarbon Disclosure Projectâ
Rethinking bank business models: the role of intangibles
<p>Purpose:
This paper provides a new way of rethinking banking models by using qualitative research on intangibles.
This is required because the banking sector has been transformed significantly by the changing environment over the past two decades. The 2007-2009 financial crisis also added to concerns about existing bank business models.</p>
<p>Design/Methodology approach:
Using qualitative data collected from interviews with bank managers and analysts in the UK, this paper develops a grounded theory of bank intangibles.</p>
<p>Findings:
The model reveals how intangibles and tangible/financial resources interact in the bank value creation process, how they actively respond to environmental changes, how bank intangibles are understood by external observers such as analysts, and how bankers and analysts differ in their views.</p>
<p>Research implications:
Grounded theory provides the means to further develop bank models as business models and theoretical models. This provides the means to think beyond conventional finance constructs and to relate bank models to a wider theoretical literature concerning intellectual capital, organisational and social systems theory, and âperformativityâ.</p>
<p>Practical implications:
Such development of bank models and of a systems perspective is critical to the understanding of banks by bankers, by observers and for their âcritical and reflexive performativityâ. It also has implications for systemic risk and bank regulation.</p>
<p>Social implications:
Improvement in bank models and their use in open and transparent processes are key means to improve public accountability of banks.</p>
<p>Originality:
The paper reveals the core role of intellectual capital (IC) in banks, in markets, and in developing theory and research at firm and system levels. </p>
The Center symmetry and its spontaneous breakdown at high temperatures
We examine the role of the center Z(N) of the gauge group SU(N) in gauge
theories. In this pedagogical article, we discuss, among other topics, the
center symmetry and confinement and deconfinement in gauge theories and
associated finite-temperature phase transitions. We also look at universal
properties of domain walls separating distinct confined and deconfined bulk
phases, including a description of how QCD color-flux strings can end on
color-neutral domain walls, and unusual finite-volume dependence in which
