Company law reform in Malaysia: Selective issues
In 2007, a Bill was passed by Malaysian Parliament, later known as the Companies Act (Amendment) 2007. There were amendments, additions, modifications and deletions made to the previous existing provisions in the Malaysian Companies Act 1965. The new set of laws reforms the crucial aspects in company law especially in the management of Malaysian companies. It also marks the beginning of better future in corporate sectors. Pada awal tahun 2017, dunia korporat di Malaysia telah diwarnai dengan transformasi undang-undang apabila Suruhanjaya Syarikat Malaysia memperkenalkan Akta Syarikat 2016. Di bawah akta baharu ini pelbagai pembaharuan diperkenalkan bagi mewujudkan persekitaran perniagaan yang lebih dinamik di Malaysia. Dengan kata lain, pelbagai aspek undang-undang syarikat di Malaysia bakal melalui transformasi perundangan dan salah satu daripadanya ialah setiausaha syarikat. Sehubungan dengan itu, artikel ini ditulis bagi mengenalpasti sebarang perubahan ke atas peraturan-peraturan berkaitan dengan perlantikan seorang setiausaha syarikat di Malaysia. Academic Plagiarism in Malaysian Higher Education Institutions: Legal Perspective
The incidents of plagiarism are prevalent in academic community throughout the world. In the context of academic community, plagiarism may damage the reputation as well as negatively affect the credibility and integrity of the institutions and those involved in such behaviours. This paper provides an overview on academic plagiarism in Malaysia and discusses the relevant Malaysian legal provisions, specifically those which applied to Malaysian public higher education institutions concerning the issue of plagiarism. Analysis of statutes and relevant case law was done by employing doctrinal legal method. It is learnt that a number of statutes governing the management and administration of the universities in Malaysia contain provisions on plagiarism that are to be subjected to disciplinary punishment. Of all the statutes, the paper found that the Educational Institutions (Discipline) Act 1976 (Act 174), which governs matters related to discipline in educational institutions but not including universities explicitly stated provision on plagiarism. The paper suggests that universities should adopt clear policy or guideline on student writing handling in order to avoid and deal with plagiarism issues effectivel

Lack of interest among members to attend company meetings is not a
new issue. Members acting passively in a meeting are a common
scenario. The law is clear on the importance of a members' meeting
and role of members in it. Although the law provides them with
rights and protection, in most cases they fail to make use of them.
Despite this apathy, a study on how members are protected at
company meetings is important. This is because there are minority
shareholders who may be discriminated against or oppressed by
majority. It is important for members, in particular the minority, to
fully understand their rights and the protection given to them by law.
This dissertation will assist existing company members and future
investors to know more on their rights in company meetings as
provided by the Common Law and the Companies Act 1965.
This dissertation will discuss the rights and protection before, during
and after the meeting.
This dissertation will also discuss members' rights to bring an action
in case injustice is done to them during the convening and conducting
process of meetings.
This dissertation will also try to examine if there is any insufficiency
in the existing law in providing rights and protection to members in
relation to company meetings

Akta Syarikat 2016 diperkenalkan hasil cadangan Suruhanjaya Syarikat Malaysia dan Jawatankuasa Semakan Semula Undang-undang Korporat untuk mewujudkan satu akta yang bersifat maju ke hadapan dan membantu komuniti perniagaan terutamanya industri kecil dan sederhana untuk lebih berdaya saing tanpa berkompromi dengan keperluan tadbir urus korporat yang teguh dan tulus.Oleh sebab Akta Syarikat 2016 baru diterima pakai, maka buku-buku rujukan tidak banyak di pasaran.Justeru, buku ini ditulis bagi membantu ahli akademik, para pelajar dan juga profesional untuk mendapatkan maklumat berkenaan dengan Akta Syarikat 2016.Buku ini bertujuan untuk memperkenalkan perubahanperubahan yang diketengahkan oleh Akta Syarikat 2016 dalam membincangkan beberapa aspek penting dalam undang-undang syarikat, pensyarikatan dan pengurusan perniagaan. Aspek-aspek penting yang dibincangkan ialah sejarah perundangan, undang-undang perkongsian dan juga klasifikasi syarikat.
Tumpuan juga diberikan kepada aspek pemerbadanan syarikat, konsep modal syer, pinjaman, keahlian dan mesyuarat syarikat.Selain daripada itu perbincangan juga difokuskan kepada kuasa pengarah dan pegawai syarikat dan yang terakhir bagaimana proses sesuatu syarikat digulung.Perbincangan mengenai kedudukan Undang-undang syarikat di Malaysia dilakukan berdasarkan sumber undangundang yang utama Akta Syarikat 2016. Selain daripada itu Akta Kontrak 1950, Akta Perkongsian 1961, Akta Perkongsian Liabiliti Terhad 2012 dan juga garis panduan terpakai bagi Akta Syarikat 2016 juga dirujuk.Buku ini akan menjadi satu teks yang tidak ternilai bagi rujukan ahli akademik, pelajar dan juga profesional untuk mendapatkan maklumat berkenaan dengan Akta Syarikat 2016
