    This Note examines roll-ups and the lack of alternatives available to reluctant limited partners. Part I focuses on existing judicial remedies for limited partners, such as injunctions and actions for damages, and explains why these courses of action provide inadequate protection. This Part then reviews recent attempts at statutory protection and points out the shortcomings of these remedies. Part II examines safeguards afforded analogously situated corporate shareholders and sets forth arguments why limited partners should receive similar protection. After demonstrating the need for legislation, Part III suggests a workable structure for this statutory protection. Then, the Note discusses the relative virtues of federal and state action and concludes the need for quick, uniform action dictates that the federal government, rather than the states, should act in this area. Finally, the Note discusses recent congressional activity on the subject of roll-ups

    Late Silurian event stratigraphy and facies of South Wales and the Welsh Borderland, United Kingdom

    Lithofacies and biostratigraphical analysis has enabled the establishment of a stratigraphic event framework for Ludfordian and Pridoli strata in south Wales and the Welsh Borderland. In SW Wales, the Golden Grove Axis acted as a structural hinge separating the shallow marine storm-influenced Cae’r mynach Seaway from a pediment surface above which Ludfordian colluvium (Abercyfor Formation) was deposited. The Axis seeded four NW-derived river-influenced delta progrades of Leintwardinian to early Pridoli age (Tilestones Formation). A NE-sourced early Pridoli wave-influenced delta deposited the Downton Castle Sandstone Formation (DCSF), coeval to the youngest Tilestones prograde, with a lateral interface existing between Mynydd Epynt and the Clun Forest area. Except for the Malverns area, the DCSF is no longer recognized south of the Neath Disturbance. Early Pridoli forced regression promoted widespread subaerial exposure north of the Neath Disturbance, with incision into tracts close to the Welsh Borderland Fault System. The basinward-shift in facies belts resulted in marine erosion and deposition of a phosphatic ravinement pebble lag. The wave-influenced Clifford’s Mesne Sandstone Formation delta subsequently seeded on the Gorsley Axis with tidally influenced Rushall Formation accumulating in a back-barrier setting. The Pwll-Mawr Formation records the easterly advance of coeval coastal deposits on the western side of the remnant Cae’r mynach Seaway. Behind migrating delta coastlines, green muds accumulated on coastal plains (Temeside Mudstone Formation) with better drained red dryland alluvium (Moor Cliffs Formation) charting expansion of Old Red Sandstone lithofacies. Mid-Pridoli incision preserves the Pont ar Llechau Formation estuarine valley fill

    UV Spectropolarimetry with Polstar: Massive Star Binary Colliding Winds

    The winds of massive stars are important for their direct impact on the interstellar medium, and for their influence on the final state of a star prior to it exploding as a supernova. However, the dynamics of these winds is understood primarily via their illumination from a single central source. The Doppler shift seen in resonance lines is a useful tool for inferring these dynamics, but the mapping from that Doppler shift to the radial distance from the source is ambiguous. Binary systems can reduce this ambiguity by providing a second light source at a known radius in the wind, seen from orbitally modulated directions. From the nature of the collision between the winds, a massive companion also provides unique additional information about wind momentum fluxes. Since massive stars are strong ultraviolet (UV) sources, and UV resonance line opacity in the wind is strong, UV instruments with a high resolution spectroscopic capability are essential for extracting this dynamical information. Polarimetric capability also helps to further resolve ambiguities in aspects of the wind geometry that are not axisymmetric about the line of sight, because of its unique access to scattering direction information. We review how the proposed MIDEX-scale mission Polstar can use UV spectropolarimetric observations to critically constrain the physics of colliding winds, and hence radiatively-driven winds in general. We propose a sample of 20 binary targets, capitalizing on this unique combination of illumination by companion starlight, and collision with a companion wind, to probe wind attributes over a range in wind strengths. Of particular interest is the hypothesis that the radial distribution of the wind acceleration is altered significantly, when the radiative transfer within the winds becomes optically thick to resonance scattering in multiple overlapping UV lines.Comment: 26 pages, 12 figures, Review in a topical collection series of Astrophysics and Space Sciences on the proposed Polstar satellite. arXiv admin note: substantial text overlap with arXiv:2111.1155

    Measurement of the Michel Parameters in Leptonic Tau Decays

    The Michel parameters of the leptonic tau decays are measured using the OPAL detector at LEP. The Michel parameters are extracted from the energy spectra of the charged decay leptons and from their energy-energy correlations. A new method involving a global likelihood fit of Monte Carlo generated events with complete detector simulation and background treatment has been applied to the data recorded at center-of-mass energies close to sqrt(s) = M(Z) corresponding to an integrated luminosity of 155 pb-1 during the years 1990 to 1995. If e-mu universality is assumed and inferring the tau polarization from neutral current data, the measured Michel parameters are extracted. Limits on non-standard coupling constants and on the masses of new gauge bosons are obtained.     The Far Ultraviolet Spectroscopic Explorer Survey of OVI Absorption in the Disk of the Milky Way

    To probe the distribution and physical characteristics of interstellar gas at temperatures T ~ 3e5 K in the disk of the Milky Way, we have used the Far Ultraviolet Spectroscopic Explorer (FUSE) to observe absorption lines of OVI toward 148 early-type stars situated at distances 1 kpc. After subtracting off a mild excess of OVI arising from the Local Bubble, combining our new results with earlier surveys of OVI, and eliminating stars that show conspicuous localized X-ray emission, we find an average OVI mid-plane density n_0 = 1.3e-8 cm^-3. The density decreases away from the plane of the Galaxy in a way that is consistent with an exponential scale height of 3.2 kpc at negative latitudes or 4.6 kpc at positive latitudes. Average volume densities of OVI along different sight lines exhibit a dispersion of about 0.26 dex, irrespective of the distances to the target stars. This indicates that OVI does not arise in randomly situated clouds of a fixed size and density, but instead is distributed in regions that have a very broad range of column densities, with the more strongly absorbing clouds having a lower space density. Line widths and centroid velocities are much larger than those expected from differential Galactic rotation, but they are nevertheless correlated with distance and N(OVI), which reinforces our picture of a diverse population of hot plasma regions that are ubiquitous over the entire Galactic disk. The velocity extremes of the OVI profiles show a loose correlation with those of very strong lines of less ionized species, supporting a picture of a turbulent, multiphase medium churned by shock-heated gas from multiple supernova explosions.Comment: Accepted for publication in ApJS.     The production of charged hadrons and K_s mesons in the collisions of quasi-real photons has been measured using the OPAL detector at LEP. The data were taken at e+e- centre-of-mass energies of 161 and 172 GeV. The differential cross-sections as a function of the transverse momentum and the pseudorapidity of the charged hadrons and K_s mesons have been compared to the leading order Monte Carlo simulations of PHOJET and PYTHIA and to perturbative next-to-leading order (NLO) QCD calculations. The distributions have been measured in the range 10-125 GeV of the hadronic invariant mass W. By comparing the transverse momentum distribution of charged hadrons measured in gamma-gamma interactions with gamma-proton and meson-proton data we find evidence for hard photon interactions in addition to the purely hadronic photon interactions.The production of charged hadrons and K_s mesons in the collisions of quasi-real photons has been measured using the OPAL detector at LEP.     A search for neutral Higgs bosons in the MSSM and models with two scalar field doublets

    A search is described for the neutral Higgs bosons h^0 and A^0 predicted by models with two scalar field doublets and, in particular, the Minimal Supersymmetric Standard Model (MSSM). The search in the Z^0 h^0 and h^0 A^0 production channels is based on data corresponding to an integrated luminosity of 25 pb^{-1} from e^+e^- collisions at centre-of-mass energies between 130 and 172GeV collected with the OPAL detector at LEP. The observation of a number of candidates consistent with Standard Model background expectations is used in combination with earlier results from data collected at the Z^0 resonance to set limits on m_h and m_A in general models with two scalar field doublets and in the MSSM. For example, in the MSSM, for tan(beta) > 1, minimal and maximal scalar top quark mixing and soft SUSY-breaking masses of 1 TeV, the 95% confidence level limits m_h > 59.0 GeV and m_A > 59.5 GeV are obtained.     Di-Jet Production in Photon-Photon Collisions at e+e- center-of-mass energies = 161 and 172 GeV

    Di-jet production is studied in collisions of quasi-real photons radiated by the LEP beams at e+e- centre-of-mass energies 161 and 172 GeV. The jets are reconstructed using a cone jet finding algorithm. The angular distributions of direct and double-resolved processes are measured and compared to the predictions of leading order and next-to-leading order perturbative QCD. The jet energy profiles are also studied. The inclusive two-jet cross-section is measured as a function of transverse energy and rapidity and compared to next-to-leading order perturbative QCD calculations. The inclusive two-jet cross-section as a function of rapidity is compared to the prediction of the leading order Monte Carlo generators PYTHIA and PHOJET. The Monte Carlo predictions are calculated with different parametrisations of the parton distributions of the photon. The influence of the `underlying event' has been studied to reduce the model dependence of the predicted jet cross-sections from the Monte Carlo generators.Comment: 31 pages, LaTeX, 15 eps figures included (1 in colour), submitted to European Physical Journal
