External managers, family ownership and the scope of SME internationalization

SMEs are important to world business and the majority of SMEs are family firms. Yet some family SMEs are inert, local firms while others are dynamic and international. Do certain governance structures encourage the scale and scope of their internationalization? We jointly apply social capital and corporate governance theories to explain the scope of family SMEs internationalization, and find that professional managers externally recruited from outside the family are important, but only for lower levels of family ownership, suggesting synergistic combinations of ownership and management. Genetic Codes of Mergers, Post Merger Technology Evolution and Why Mergers Fail

This paper addresses the key determinants of merger failure, in par- ticular the role of innovation (post-merger performance) and technology (ex-ante selection) when rms decide to separate. After a brief review of the existing literature we introduce a model of process innovation where merged firms exibit intra-merger spillover of knowledge under different mar- ket regimes, depending on whether firms integrate vertically or horizontally. Secondly, we describe an ideal matching pattern for ex-ante selection cri- teria of technological partnering, abstracting from nancial market power issues. In a final section we test the model implications for merger failure for M&A data from the US biotechnology industry in the 90s. We find that post-merger innovation performance, in particular with large spillovers, in- creases the probability of survival, while we have no evidence that market power effects do so in long run. Measuring information security breach impact and uncertainties under various information sharing scenarios

This study draws on information theory and aims to provide simulated evidence using real historical and statistical data to demonstrate how various levels of integration moderate the impact and uncertainties of information security breach on supply chain performance. We find that the supply chain behaves differently under various levels of integration when a security breach occurs. The entropy analysis revealed that the wholesaler experience the most uncertainty under system failure and data corruption. This sort of impact-uncertainty information will aid in designing and managing a resilient supply chain poised for minimal breach impact

Measures of collaborative venture performance: An analysis of construct validity

This study presents a methodology to evaluate the construct validity of measures of collaborative venture (CV) performance and applies it to a sample of 69 CVs. After discussing content validity of the different measures, empirical results show that subjective measures of CV performance are reliable and present convergent validity. Results also support their discriminant validity with respect to other measures such as contractual changes, but not to longevity; no conclusive evidence is found with respect to survival.methodology; collaborative venture;
