    Corporate financing decisions: UK survey evidence

    Despite theoretical developments in recent years, our understanding of corporate capital structure remains incomplete. Prior empirical research has been dominated by archival regression studies which are limited in their ability to fully reflect the diversity found in practice. The present paper reports on a comprehensive survey of corporate financing decision-making in UK listed companies. A key finding is that firms are heterogeneous in their capital structure policies. About half of the firms seek to maintain a target debt level, consistent with trade-off theory, but 60 per cent claim to follow a financing hierarchy, consistent with pecking order theory. These two theories are not viewed by respondents as either mutually exclusive or exhaustive. Many of the theoretical determinants of debt levels are widely accepted by respondents, in particular the importance of interest tax shield, financial distress, agency costs and also, at least implicitly, information asymmetry. Results also indicate that cross-country institutional differences have a significant impact on financial decisions

    Trade Mark Cluttering: An Exploratory Report Commissioned by UKIPO

    This report explores the problem of “cluttering” of trade mark registers. The report consists of two parts: the first presents a conceptual discussion of “cluttering” of trade mark registers. The second part provides an exploratory empirical analysis of trade mark applications at the UK Intellectual Property Office (UKIPO) and the European trade mark office (OHIM). This part contains results of a descriptive and an econometric analysis. According to our definition, cluttering arises where firms hold trade marks that are overly broad or unused raising search costs for later applicants. The report distinguishes between three mechanisms that can lead to cluttering. It also considers a series of mechanisms that work against cluttering. This discussion is based on a review of the previous literature. The tentative empirical evidence provided in the second part of the report suggests that trade marks are more frequently registered in several classes at the same time and also that firms in pharmaceuticals increasingly resort to multiple simultaneous applications to ensure that they will register at least one trade mark. There is also some evidence that firms seek to avoid mechanisms such as relative grounds examination which can prevent cluttering. Finally, we report direct survey-based evidence that applicants perceive cluttering to be a problem in specific fields and countries. However, our exploratory analysis does not provide strong evidence that cluttering has already become a systemic problem for the trade mark systems that is comparable to the effect of patent thickets for patent systems

    Signaling power of open market share repurchases in Germany

    This paper shows that abnormal stock price returns around open market repurchase announcements are about four times higher in Germany than in the US (12% versus 3%). We hypothesize that this observation can be explained by country differences in repurchase regulation. Our empirical evidence indicates that German managers primarily buy back shares to signal an undervaluation of their firm. We demonstrate that the stringent repurchase process prescribed by German law attributes a higher credibility to such a signal than lax US regulations and thereby corroborate our hypothesis

    The Use of Trademarks in Empirical Research: Towards an Integrated Framework

    This paper represents an early attempt to develop an integrated framework linking empirical studies that make use of trademark statistics. Despite its youth, this field of scholarly activity has already accumulated a critical mass of papers that allow us to draw first general conclusions about the trademark lifecycle and its impact on organisational functioning. Based on a systematic review of 64 articles with some elements of empirical trademark analysis, five broad research areas have been identified, namely: the determinants of trademark deposits; the relationship between trademarks and innovation processes; the role of trademarks in differentiating product offerings; the strategic use of trademarks; and the impact of trademarks on firm performance. Within each category, a more detailed aggregation of articles has also been proposed. Overall, the analysis has shown that the performance-based perspective currently dominates the research landscape, with studies on trademark deposits and the trademark-innovation link to follow. At the same time, there is still little known about micro-foundations of a company's trademarking behaviour; the use of trademarks and other intellectual property rights in a complementary way and its effect on value transference; as well as the performance implications of differentiation strategy. This paper considers these and other findings to outline directions for future research

    Hybrid model using logit and nonparametric methods for predicting micro-entity failure

    Following the calls from literature on bankruptcy, a parsimonious hybrid bankruptcy model is developed in this paper by combining parametric and non-parametric approaches.To this end, the variables with the highest predictive power to detect bankruptcy are selected using logistic regression (LR). Subsequently, alternative non-parametric methods (Multilayer Perceptron, Rough Set, and Classification-Regression Trees) are applied, in turn, to firms classified as either “bankrupt” or “not bankrupt”. Our findings show that hybrid models, particularly those combining LR and Multilayer Perceptron, offer better accuracy performance and interpretability and converge faster than each method implemented in isolation. Moreover, the authors demonstrate that the introduction of non-financial and macroeconomic variables complement financial ratios for bankruptcy prediction
