    This article offers an extended critique of the Delaware Supreme Court\u27s unprecedented use of an entire fairness test in a breach of due care setting, as first articulated in Cede & Co. v. Technicolor, Inc. 634 A.2d 345 (Del. 1993) and Cinerama, Inc. v. Technocolor, Inc., 663 A.2d 1156 (Del. 1995). The article then argues for a generalized reasonableness standard for director conduct and for judicially reviewing care claims, thereby providing Delaware law with something it has lacked historically ? a pervasive (yet still streamlined) duty of due care

    The goal of this paper is to assess the effect of regulatory burdens in the European dairy industry on its competitiveness. A theoretical foundation is provided by transaction cost economics and total quality management insights. The effects of legislation on administrative requirements and competitiveness are supposed to be mediated by impacts on innovativeness, company strategy, food safety system availability, as well as the available information & communication capabilities. We will connect to previous research (Wijnands et al., 2007) and the findings therein. Four sub-questions are addressed: • what is the relationship between administrative burdens, innovation and competitiveness? • what is the relationship between administrative burdens, food safety & quality system deployment and competitiveness? • what is the relationship between administrative burdens, food labelling requirements and competitiveness? • what is the relationship between administrative burdens, supply chain transparency and competitiveness? In addition to the theoretical framework presented earlier in Bremmers et al., 2008, this paper contains the first results of a survey in the European dairy industry. They are combined with the proceeds from a literature search. The results show that (Q1) especially product innovation is negatively impacted by administrative burdens. Food safety and quality systems (Q2) serve to provide a level playing field in Europe. They would be installed also if no legal requirements would enforce them, because clients ask for it, so that administrative burdens could easily be attributed to business strategy rather than legal obligations. To reduce administrative burdens, we advice to integrate food safety and quality requirements is necessary. It would reduce monitoring and reporting costs, both for private as well as public parties. Food labeling (Q3) (a ‘made in Europe’ origin marking) could work contraproductive with respect to the competitive position of dairy firms and will have an increase of administrative burdens as a net-effect. And last but not least (Q4), increased chain transparency (mentioning the name of intermediary producers on the end-product package) will accelerate administrative burdens, but will only be beneficial for SMEs with a differentiated product.     Changes in the Producer-Consumer Relationship - Towards Digital Transformation

    The purpose of this paper is to analyze shifts in the producer-consumer relation-ship resulting from the increased use of digital technologies. In this study, we aim to understand how this relationship is fundamentally changing and the role of digital technologies in such a change. Therefore, we provide a state-of-the-art re-view of information systems and management literature using analysis techniques borrowed from the method of grounded theory. The results of our study indicate that the constructs of digital density, digital interconnectedness, and consumer-centricity are key drivers of changes in the producer-consumer relationship. With the growing role of digital technologies in both society and organizations, our study contributes with implications for information technology and business managers, offering them insights on how to deal with this phenomenon. Finally, our study provides a useful framework for future interdisciplinary research in this field

    Informedness and Customer-Centric Revenue management

    The recent pervasive adoption of modern IT in the marketplace has profoundly changed information availability to customers and firms. This improved information endowment results in changes in consumer behavior and corporate strategy. This dissertation proposes new theoretical perspectives – firm informedness, customer informedness, and informedness through learning – to re-conceptualize the decision making process of customer-centric revenue management. It consists of three studies. First, using multiple cases in which firms adopt smart cards and mobile technologies in America, Europe, and Asia, we examine the value creation process of the firm using the explanation of firm informedness and investigate how it advances revenue management. Second, we test the theory of consumer informedness and examine heterogeneity in consumer preferences using stated choice experiments. We find the evidence for trading down and trading out behavior and show that the use of mobile ticketing technologies can help firms to build a hyper-differentiated transport market. Finally, using a computational simulation, we explore the opportunity for devising service offerings to capture profitable consumer responses, considering demand-driven revenue and capacity-management. Overall, this research introduces methods, models, and guidelines for organizations to strategize the informational challenge, make informed decisions, and create transformational values to win in today’s competitive network environment

    Influencing Environmentally Sustainable Consumer Choice through Information Transparency

    A number of studies have argued that recent technological and informational affordances have enabled a greater degree of transparency, which can in turn guide consumer behavior towards more sustainable patterns of consumption. This paper examines whether sustainability attribute information influences sustainable product choice. Our hypotheses are driven by construal level theory and tested through a stated choice experiment in the context of a self-developed online grocery store. Our results show that the mere disclosure of sustainability information does not influence consumers to choose a sustainable product. Rather, the effect of sustainability information on sustainable product choice depends on the sustainability attributes provided. We discuss the contributions of our study to the literature and the implications for practitioners

Jedoch werden formale Methoden noch selten für industrielle Projekte genutzt. Das Ziel dieser Arbeit ist die Untersuchung, ob und wie Methoden, Werkzeuge und Ergebnisse aus dem Bereich der Wissensrepr äsentation auf das Gebiet der formalen Spezifikation übertragen werden können. Zuerst vergleichen wir Ziele, Konzepte und Probleme der Wissenrepräsentation mit denen der formalen Spezifikation. Danach untersuchen wir einige Eigenschaften von Spezifikationen und Wissensbasen, wie zum Beispiel Konsistenz, Vollständigkeit und Korrektheit. Weiterhin betrachten wir ein Werkzeug zur Spezifikation von wissensbasierten Systemen, welches selbst ein Wissensrepräsentationssystem ist.     Public value (PV) is a debatable topic with different definitions across the public administration literature and e-government literature. Public value is seen as the last paradigm of both public administration and e-government studies, redefining the definition of e-government, its aims, success indicators and evaluation frameworks. Existing implementations are typically biased towards the realisation of efficiency and service effectiveness, with far less attention being paid to the delivery of PV. In addition, PV-related e-government studies have not presented a comprehensive and holistic framework to investigate e-government PV.
